You can hire an employee in Kyrgyzstan without incorporating a Kyrgyz subsidiary, but you still need an employer that can carry out the local obligations. A local employer of record may provide that arrangement. Alternatively, your foreign company can establish a registered branch and employ through it without creating a separate legal person.
Start by identifying the legal employer, the person's work authorization and the actual job. Those decisions determine who signs the contract, keeps employment records and pays the first salary. An overseas offer letter and a payroll account alone do not complete the hire.
Can you hire an employee in Kyrgyzstan without incorporating?
Yes, conditionally. The important distinction is between avoiding a new subsidiary and avoiding local registration altogether.
Kyrgyzstan's investment authority describes a branch registration route, including registration with justice, tax, statistics and the Social Fund through a single-window process. A branch gives the foreign company a local presence; it does not make employer duties disappear.
A general payroll-only registration route for a foreign employer with no branch, representative office or other local establishment remains unverified. Article 111 of the Tax Code covers branches, permanent-establishment cases and certain nonresident registration cases, including bank-account registration. Eligibility for one registration category does not by itself establish the complete employment and withholding route.
For a single hire, assess a local employing arrangement first if you want to avoid establishing your own presence. If you want your company to remain the employer, evaluate branch registration and its tax consequences before committing to the start date.
Choose a permitted employment route
| Route | When available | Who is the legal employer | What must be in place |
|---|---|---|---|
| Local EOR employment | After the proposed employment and client-service arrangement is cleared for the actual role and worksite | The named Kyrgyz employing company | Local employment contract, client services agreement, employer registrations, and confirmation of any applicable staffing or sector permissions |
| Foreign company through a registered branch | When the foreign company accepts a registered local establishment and the activity is permitted | The foreign company, acting through its authorized branch representative | Branch registration, tax and social-insurance records, authorized signatory, payroll and employment administration |
| Overseas employer using payroll-only registration | Do not assume general availability without a confirmed registration and withholding basis | The overseas company | Written confirmation of the applicable registration, representation and payroll obligations before use |
| Kyrgyz subsidiary | When the business chooses incorporation | The subsidiary | Separate incorporation and employer setup; outside this article's no-incorporation objective |
EOR is a commercial service description. The enforceable employment relationship must still sit with an identifiable employer under the Labour Code. Ask how that employer exercises its responsibilities when your managers direct daily tasks. Keep leave approval, disciplinary action and dismissal with the responsible legal employer.
Do not assume an EOR assignment must be temporary, or that calling it temporary supplies a lawful fixed-term contract basis. Article 18 permits indefinite employment and restricts fixed-term use to the applicable circumstances. Obtain a specific explanation for any proposed assignment limit or fixed term.
A contractor agreement serves a different relationship. Payroll software or an administrator can process payments, but cannot supply the missing legal employer. Relabeling employee work does not complete an employee hire.
Confirm the person, job and work location are eligible
Before making an unconditional offer, establish:
- Citizenship and permission: A Kyrgyz citizen working locally follows a different route from a foreign worker. Keep identity evidence, rather than relying on a Bishkek address.
- Foreign-worker category: The investment authority's immigration guidance describes the unified permit combining work and visa authorization, alongside the EAEU exception. Citizens of Armenia, Belarus, Kazakhstan and Russia can work under the EAEU arrangements without that permit. Their stay and registration requirements still need separate attention.
- Employer and role: For a worker requiring authorization, verify that the proposed employer can support the particular job. An EOR service agreement does not itself grant immigration permission.
- Actual location: Record whether work is office based, remote or at a client site. Cross-border travel or a move outside Kyrgyzstan changes the assessment.
- Sector and contract: Identify professional qualifications, regulated activities, hazardous work and any basis for fixed-term employment. The investment authority explains that sector permissions can be separate from business registration.
The concrete stop condition is a foreign worker whose required authorization is still pending. Move the start date; do not use paid trial work to bridge the gap. For client-directed EOR work, also hold approval until the local employer has established the arrangement's legal basis and any applicable restrictions.
Prepare the offer and country employment terms
The employment contract should implement the offer, with the correct employer and signatory. Articles 17, 20 and 25 of the current Code govern its content, execution and hiring documents.
| Decision or document | Required information | Responsible party | Deadline or dependency |
|---|---|---|---|
| Employer and signature authority | Full employer details, registration information and representative's authority | Legal employer; client supplies company information | Before execution |
| Worker documents | Identity document, personal identification number, employment book and education document; military records where applicable | Worker supplies; employer checks | At contract conclusion under Article 25 |
| Pay and working terms | Gross salary in KGS, pay rules, job, start date, hours, rights and duties | Employer and worker; client approves budget | In the employment contract |
| Work location and equipment | Actual operating arrangement; remote status, equipment, expenses and communication rules where relevant | Employer, worker and client | Before work; remote terms follow Article 184 |
| Language and copies | Kyrgyz documentation and appropriate additional translations; paper or legally valid electronic signature; worker's copy | Employer | At execution and document delivery |
| Benefits and safety | Applicable leave, social insurance, safety instruction and workplace policies | Employer; client provides workplace inputs | Onboarding and ongoing administration |
| Employer liability insurance | Required policy covering work-related harm to life and health | Employer and licensed insurer | Law No. 194, Article 8: conclude within ten working days of actual admission; arrange coverage before work as an operational precaution |
| Hiring order | Employer's formal order and worker's signed acknowledgment | Employer | Order within three days of the contract; acknowledgment within three days of signing the order, Article 20 |
| Work authorization and payroll data | Applicable permission or exemption, bank instructions and protected personnel records | Employer and worker | Permission before work; complete payroll data before processing |
Language needs more care than an English-only global template. Article 10 of the state-language law applies Kyrgyz-language document administration across ownership forms, with Russian used where necessary. Prepare the local personnel documents accordingly and provide a translation the parties understand.
The insurance law is separate from Social Fund contributions. Its ten-working-day contracting deadline should not be confused with the recommended earlier coverage date.
For an ordinary adult role, the Code provides a normal maximum of 40 working hours per week and 28 calendar days of basic annual paid leave. Particular categories can require different treatment. Agree bonuses, additional benefits and equipment reimbursement separately, rather than presenting them as part of take-home salary.
Complete the hire from agreement to first payroll
Use the following sequence whether the employer is a local company or your foreign company acting through a branch. The identity of the actor changes; the employment gates remain.
- Approve the route. Your company and the legal employer document who employs the worker and why the arrangement fits the job. Completion evidence is the employer's registration and authority package, plus the agreed allocation of responsibilities.
- Clear the person and workplace. The employer checks identity, personal identification number, qualifications and any immigration permission. Your company supplies the real duties and location. Release the start only when these match.
- Agree the terms. The employer and worker sign the local employment contract and exchange copies. Your company approves compensation and commercial charges. A client agreement cannot replace the employee's contract.
- Complete local onboarding. The employer issues the hiring order, obtains acknowledgment, explains policies and safety requirements, and arranges the employment book. It also handles the vacancy-publication obligation for a newly created or vacant job under Article 16 of the Labour Code.
- Open the payroll record. The employer's payroll team matches the worker's identifier and bank details to the employment record, establishes deductions and contributions, and confirms the first pay date. Retain the approved calculation and payment instructions.
- Approve and fund. Your company submits attendance and changes by the commercial cutoff and transfers the agreed funds. The employer checks cleared funds and payroll approval against the wage-payment obligation.
- Pay and reconcile. The employer pays the employee, supplies the written pay breakdown required by Article 97, and completes statutory reporting and remittances. Keep payment confirmation and filing receipts.
Example: a Kyrgyz citizen hired through a foreign company's branch
This hypothetical example uses Foreign Parent Ltd, a fictional overseas company, as the legal employer through its already registered Bishkek branch. It hires an adult Kyrgyz citizen for an ordinary office-based analyst role. It assumes no regulated activity, no immigration sponsorship, a five-day working week and completed employer registrations. It is not a claim about a real worker or a promised setup duration.
| Milestone | Must be complete | Evidence | Who confirms |
|---|---|---|---|
| Tuesday, November 10, 2026 | Branch ready; vacancy administration completed; worker's identity, PIN, employment book and qualifications checked | Registration records, representative's power of attorney, vacancy record and personnel checklist | Branch manager and HR |
| Thursday, November 12 | Employment contract signed for a November 16 start; order issued and acknowledged; liability coverage arranged effective from commencement | Signed contract copies, order and policy | Employer, worker and insurer |
| Monday, November 16 | Workplace and safety onboarding complete; employee starts | Start approval and attendance record | Branch manager |
| Monday, November 23 | Assumed payroll data cutoff met, with later attendance reconciled before payment | Approved first-period payroll inputs | Manager and payroll |
| Wednesday, November 25 | Assumed internal funding deadline met | Cleared funds sufficient for payroll and liabilities | Parent finance and branch payroll |
| Monday, November 30 | First part-month salary paid under the employer's adopted pay schedule | Bank confirmation and pay breakdown | Payroll and worker |
| Friday, December 18 | November social-insurance and income-tax reports submitted; contributions and withheld income tax paid early | Accepted reports and payment receipts | Employer's payroll team |
The contract and order are completed together, so the example does not depend on using the full three-day periods. The November operating dates avoid the statutory nonworking holidays listed in Article 66.
The social-insurance instruction, paragraphs 19 and 52, sets reporting and contribution-payment deadlines by the 20th of the following month. December 20, 2026 is a Sunday; the report's explicit next-working-day rule would move its deadline to Monday, December 21. The example files and pays on December 18, avoiding reliance on a payment-deadline extension.
Articles 202 and 203 of the Tax Code also set the relevant income-tax payment and reporting dates by the following month's 20th. Payroll includes those liabilities in the same early close.
Under these assumptions, work begins November 16 and the employee receives the first salary November 30. If documents or employer readiness fail, the branch manager postpones commencement. If funding fails after work begins, parent finance and the employer must arrange timely payment; a missed internal cutoff cannot cancel earned wages.
Budget and prepare the first payment
Separate the money owed to the worker from the employer's additional costs and any service charges.
| Cost layer | What to include | Timing |
|---|---|---|
| Gross salary | Contractual KGS salary, first-period proration and approved variable pay | Each payroll |
| Employer contributions and insurance | Correct statutory contribution category and base; employer liability premium | Contributions accrue with payroll; insurance follows the policy's premium schedule |
| Employee deductions | Social contributions and income tax withheld from gross pay | Within payroll, then remitted; do not add them to gross salary again |
| Service administration | EOR fee if used, or branch payroll and HR administration | According to the commercial agreement |
| Conditional costs | Registration work, translations, immigration charges, equipment and optional benefits | One-time or recurring as specified |
The investment authority's contribution summary distinguishes employer contributions of 2.25% and 17.25%, with a separate 10% employee contribution. Defined categories, including certain financial, telecommunications and extractive businesses, have different treatment. The contribution instruction also contains regional average-wage base rules. Require the actual employer's category and calculation base in the payroll approval.
Also check the Tax Code's average-wage floor for income tax: where it applies, part of the tax can fall to the employer's own funds. A low salary does not always mean payroll liabilities scale down proportionately.
In the branch example, finance funds the calculated part-month gross wage, employer contributions and administration, while payroll retains and remits employee deductions. November 25 is an assumed funding date, not a legal deadline or Borderless commitment.
Article 94 requires payment at least monthly, on dates established by the collective agreement or organizational rules. A payday falling on a weekend or holiday must be brought forward. Match the worker's bank details, payroll approval and cleared funding to that date before the first run.
What your company still manages after the hire
Your managers still provide accurate instructions, attendance, overtime and leave inputs. Route changes in pay, duties, location or employment status through the legal employer before implementing them.
Keep responsibility for workplace safety and equipment explicit. For an EOR arrangement, your managers' operational involvement must fit the agreed lawful structure. For a branch, the foreign parent continues to bear the employer responsibilities through its authorized representatives.
Assess local commercial activity and permanent-establishment exposure separately from the employment contract. Signing sales contracts, maintaining premises or performing regulated services needs its own analysis; an EOR agreement is not a tax exemption or an operating license.
Control access to personnel information and document international transfers. The investment authority's data guidance identifies the Digital Code as the governing framework for processing and cross-border data exchange.
Questions about hiring without an entity in Kyrgyzstan
Can we issue the offer before choosing the legal employer?
You can discuss proposed terms, but make the offer conditional on the employment route and start requirements. Identify the actual employer before signing the employment contract.
Does a registered branch meet the no-incorporation objective?
It avoids creating a separate subsidiary, while establishing a local presence and registration duties. It suits employers willing to operate that presence themselves. It does not meet an objective of having no local establishment at all.
Can a foreign resident start while permission is being processed?
Only if an existing authorization or applicable exemption already permits the work. Residence alone is insufficient evidence. Keep work on hold when the required authorization is pending.
Must an EOR hire use a short fixed-term contract?
Do not assume so. Require the employer to explain both the permitted client arrangement and any fixed-term ground under Article 18. Commercial convenience alone should not determine the employment term.
Does missing the payroll cutoff move the employee's payday?
It creates a funding and processing problem for the companies to solve. The employer must still meet the applicable wage-payment date for work already performed.
