Key Takeaways

  • Agree the package and supplier exit around confirmed employment readiness, with insurance effective from the start and later payroll duties assigned to named owners.
  • Genuine contractor downtime creates no automatic paid-holiday balance; agree advance, extra contractual or unpaid leave for any opening shortfall.
  • The illustrative DKK70,000 fee becomes DKK50,225 gross cash, while employer charges and employee deductions remain separate; this does not establish equal take-home pay.

To convert an existing contractor in Denmark, agree the employer and package, secure employment readiness, and coordinate the supplier exit with the employee start. A new contract label does not settle the relationship’s history.

Decide the paid-holiday opening balance, secure insurance from the start, and assign later payroll declarations and payments before supplier service ends.

Rules checked 19 October 2026. This guide covers ordinary private employment in Denmark, excluding Greenland and the Faroe Islands.

What changes when a contractor becomes an employee in Denmark?

The example assumes genuine sole-trader service. Earlier employee-like facts require a historical assessment before fixing entitlement dates.

Establish status, work rights and the employment route

Review control, financial risk and whose account the work serves. Danish tax guidance requires an overall factual assessment; each employment statute also has its own scope. Assess any earlier employee-like relationship for historical rights, withholding and contributions.

Identify the actual employer before issuing the offer:

  • Danish entity: confirm employer registration, payroll authority, insurance and any collective agreement.
  • Direct foreign employer: assess Danish withholding, social-security obligations and taxable presence separately. A Danish CVR number alone does not make a foreign company a Danish withholding employer.
  • EOR: confirm the employing company and legal delivery model. Where the arrangement falls under the Agency Worker Act, temporary assignment and equal-treatment requirements matter. The Supreme Court’s ruling of 18 June 2026 requires a substantive assessment of temporary work; an EOR label does not settle indefinite same-client arrangements.

Check permission for this employee job and employer. Permission to run an approved business under Start-up Denmark does not itself authorize a salaried job. The ordinary example assumes a Danish citizen with unrestricted work rights. See our Denmark EOR guide.

Agree the offer, start date and treatment of existing rights

Deliver the full package before the switch. The written-terms law covers employment above three weekly hours averaged over four weeks: core information within seven calendar days of commencement, remaining specified information within one month, subject to qualifying collective-agreement exceptions.

Funktionærloven can cover office/non-manual technical duties under employer direction exceeding eight average weekly hours. Covered functionaries generally receive full sick salary. Its short-notice trial must be agreed, lasts at most three months and requires at least 14 days’ employer notice within the trial. Earlier employment prevents assuming a fresh probation.

A female functionary has statutory half salary for the specified maternity period through 14 weeks after birth; agreements may improve it. Public-benefit and employer-reimbursement eligibility require separate assessment.

Set the paid-holiday opening balance

Under the Holiday Act, a monthly employee entitled to full sick and public-holiday pay normally receives salary during earned holiday plus a 1% supplement. Other holiday-pay methods have different conditions.

Genuine contractor downtime creates no automatic paid-holiday balance. For planned leave, agree advance paid holiday, extra contractual leave or unpaid leave. Earned holiday is normally usable from the following month.

For software work, employee copyright rules cover programs created in employment or under employer instructions. Check assignments or licences for earlier contractor deliverables with their actual owner. Other copyright and employee inventions require their own treatment; include suitable future IP and confidentiality terms.

Confirm the handoff before supplier service ends

Agree this arrangement’s handoff with the prospective employer or EOR:

  • The current client supplies the contractor agreement, supplier identity, notice/consent terms, last-service/invoice details and existing deliverables/IP records.
  • The worker supplies identity/CPR, permission evidence, payroll inputs and planned leave; document agreed pay, service treatment and start.
  • The prospective employer/EOR confirms accepted terms, employee-job permission, coverage, registration/worker-data readiness, payroll cutoff and payday. Name task owners and completion sign-offs, including client responsibilities.

Make supplier exit conditional on confirmed employment readiness. Assign later filing/payment dates before the last service day. Outsourcing preserves the employer’s responsibility for payroll.

Compare the old invoice with the employee package

This illustrative November comparison assumes a DKK70,000 fee excluding VAT/expenses, DKK50,000 employee base, no occupational pension/taxable benefits, and an applicable monthly Great Prayer Day allowance. The full base is agreed despite a 2 November start; no universal conversion ratio applies.

The Great Prayer Day law provides the 0.45% allowance where abolition increases working time. ATP rates shown here require at least 117 monthly hours. Ordinary 8% labour-market contribution is employee withholding on its applicable base.

Employee net pay and total employer cost remain unpriced. Confirm any occupational pension’s scheme terms; use the Denmark cost guide for the broader budget.

Complete the country conversion steps

  1. Client/HR approve status and route. Resolve historical-service and permission issues before fixing dates.
  2. Client and supplier document the exit. Use the actual agreement’s notice or authorized consent; agree final service, invoices, expenses and any earned milestone/commission amounts.
  3. Employer and worker accept the offer. Retain the agreed rights decisions and handoff confirmation.
  4. Employer/payroll prepares Danish setup. Register through Virk and activate eIndkomst. Submit worker employment information and request/retrieve eSkattekort before wage reporting, using CPR, actual start and selected card type. Collect bank/hours data; the worker updates the preliminary tax assessment.
  5. Employer/HR secures coverage and controls. Bind accident insurance from employment start and arrange AES occupational-disease coverage under the injury-insurance law. Complete the APV assessment with employee involvement and an unresolved-risk action plan; enable daily time recording, agreed benefits and access.
  6. Payroll processes pay; finance makes payments. Deliver a readable withholding payslip, pay net salary, secure accepted declarations and separately remit the amounts due.
  7. Finance closes deferred contributions and holiday supplement against the calendar, retaining payment evidence.

Worked conversion calendar

The start gate is 2 November 2026. Confirm readiness before final supplier service; assign later rows to continue after employment begins.

Assume an existing Danish ApS hires its first employee, an adult Danish citizen resident/working in Copenhagen under Danish social security. The qualifying functionary works 37 hours weekly with full sick/public-holiday pay, no collective agreement, occupational pension or taxable benefits. Only ordinary VAT-taxable software supplies are made, so lønsumsafgift does not apply; exempt/mixed activity changes that assessment.

Use the package above: first gross DKK50,225, no November/December leave, first payday 30 November and employment continuing through December. Assume mutual supplier termination, final service/invoice on 30 October and invoice due 13 November. Payroll uses direct eIndkomst, ordinary SME deadlines, joint ATP collection and the May/August holiday-supplement method. These are illustrative facts, not an EOR-wide timetable.

The registration rule counts eight days from withholding liability, while official establishment guidance explains the first-wage trigger. October-effective registration also creates a zero-report obligation.

Reporting law and payment law set separate deadlines. Dates account for Danish bank holidays. Copenhagen municipal personal tax follows national withholding collection; there is no additional municipal employer return or payment for this example.

Samlet Betaling collects ATP and applicable employer charges, including AES, Barsel.dk, financing and holiday-fund administration. Check each invoice line. Ordinary AUB has a first-employee deduction; the one-worker example does not meet the separate annual Læreplads-AUB threshold. AFU’s 2026 rate is zero. Those facts do not exempt the other schemes. The joint-collection rules set the Q4 payment date.

Ongoing salary-holiday treatment here creates no routine 12.5% FerieKonto transfer. A different holiday method or employment ending changes that conclusion and requires a revised calendar.

Close the contractor engagement and verify first payroll

Supplier closeout:

  • Supplier: valid exit with the actual party; final service period, accepted deliverables, expenses and invoice matched to payment.
  • Rights and access: earlier IP assignments/licences and surviving confidentiality duties; equipment returned or reissued and access changed for employment.First employee payroll:
  • First payslip: employer identity, period, agreed gross/supplements, A-tax, AM and employee ATP; net pay matches the salary transfer, with no duplicate supplier payment.
  • Employee records: correct start/service treatment, earned leave, pension/benefit dates and effective insurance.
  • Later obligations: accepted declarations and separate tax/contribution payment evidence against the assigned calendar dates. A submitted file or unpaid invoice does not close the duty.

Prospective employment does not extinguish earlier tax, employment, social-security or IP exposure.

Two conversion situations to plan for

Two hypothetical cases:

January holiday booking. Five requested days exceed November’s 29 × 0.07 = 2.03 paid days plus December’s 2.08, a 0.89-day shortfall. Choose advance, extra contractual paid or unpaid leave before accepting the offer; record it separately from statutory accrual. The May/August supplement method continues.

The contractor holds Start-up Denmark permission. The employer cannot rely on that business permission for the salaried role. SIRI’s job-change rule includes qualifying Start-up Denmark holders, but both the existing permission and new-job category must qualify. A qualifying new application must be submitted no later than the day work begins to use pending-decision work permission. Obtain the qualifying-route and submission evidence; otherwise change the start sequence instead of assuming any application permits work.

Questions about converting contractors in Denmark

Can the final invoice be paid after employment starts?

Yes, under its payment terms. The example’s invoice covers service ending 30 October and is due 13 November. Reconcile its service period and payment separately from salary.

What if the supplier agreement is with the worker’s company?

Obtain authorized company exit consent or valid notice and verify deliverable ownership. Employment acceptance by the person does not document the supplier company’s termination or IP assignment.

What if the prospective employer misses its payroll cutoff?

Before supplier service ends, confirm lawful payment on the agreed payday or revise both cutover dates. Recheck permission and coverage. Verify any off-cycle payroll capability with the particular employer/EOR.

Can an EOR use this exact calendar?

The SME category, first-worker setup and holiday method belong to the assumed ApS. Have the actual employer/EOR confirm its applicable category, collection/benefit methods and resulting handoff dates.
