For a small New Zealand team testing a role or market, an employer of record can be the first route to examine if the actual employment arrangement is suitable. A New Zealand subsidiary deserves earlier consideration when you need a lasting local business, direct employment governance and the capacity to manage company obligations.
There is also a third route: your existing overseas company may employ directly. Its New Zealand activities determine whether overseas-company registration and employer tax registration are required. Incorporating a subsidiary is not the automatic price of hiring one person.
Start with the work, employer identity and immigration conditions. Then compare the costs that actually differ. A lower monthly fee cannot make an unsuitable placement workable.
Rules checked October 20, 2026. All worked-example amounts are New Zealand dollars (NZD).
Which route fits your plans in New Zealand?
Choose the infrastructure for the operation you intend to build, including how you would leave it. One remote specialist supporting overseas customers presents a different decision from a local team delivering contracts from your own premises.
An entity can be preferable before an employee-count calculation says so. For example, a company that wants its own NZ subsidiary to contract with customers and employ its operating team has a business-structure reason to incorporate. Conversely, paying per employee can be worthwhile during an uncertain pilot because you avoid building company administration for an operation you may discontinue.
Neither route authorizes a regulated business activity or professional practice by itself. Identify the relevant operating permission before treating employment setup as complete.
Which employment routes are available?
The Companies Office distinguishes an overseas branch from a subsidiary. A branch remains the foreign company; the subsidiary is a separate legal entity. Do not confuse either with PAYE registration.
Inland Revenue's non-resident employer rules address sufficient NZ presence and obligations involving non-cash benefits or superannuation. A documented agreement can make the employee responsible for certain benefit or superannuation tax obligations; it does not erase a sufficient-presence PAYE obligation. Its IR56 guidance explains the conditional employee collection route. IR56 does not turn an employee into a contractor.
Client direction and migrant placement need separate checks
Employment structure depends on reality. In Prasad, the Employment Court found that workers supplied through an intermediary were employees of the client on the particular facts. Its official Head summary describes a different outcome: genuine agency employment remained effective where the agreements and practical conduct aligned. Neither establishes a universal headcount or duration trigger.
For Accredited Employer Work Visa (AEWV) placements under another business's direction, Immigration New Zealand requires triangular employer accreditation. The direct employer must check and monitor clients, including NZBN checks and arrangements for site access. Clients cannot place the migrant onward with another controlling third party.
An offshore client without an NZBN therefore needs its proposed arrangement specifically assessed before relying on this route. A general EOR service offer does not settle that eligibility question. The worker's AEWV conditions also govern employer, job and location. These sponsorship requirements should not be applied indiscriminately to citizens, residents or people with suitable open work rights.
What each route requires your company to manage
An incorporated company is a legal structure. An employment-ready company has people, processes and permissions ready for the first working day and payroll.
For a subsidiary, the director requirement is consequential: at least one director must live in NZ, or live in Australia and also be a director of an Australian-incorporated company. A filing service does not replace that governance responsibility.
The incorporation process requires addresses, director and shareholder information, consents and applicable ultimate holding company details. Prepare the ownership information needed for bank and professional-provider due diligence separately. Decide how to fund shares and working capital; neither should be folded automatically into consumed setup expense.
Assign responsibility for IRD and employer registration, payment arrangements, leave records, KiwiSaver administration, insurance and ACC classification. ACC's employer cover is automatic when you become an employer; its levy calculation uses payroll and business classification, with experience rating where applicable. Do not invent a separate discretionary purchase step or assume identical levies across different employers.
WorkSafe's overlapping duties guidance requires relevant businesses to coordinate. An EOR contract cannot remove applicable safety duties. A controlling client can also face personal-grievance exposure when its conduct contributes to the problem; assigning administrative tasks is not complete liability transfer.
Finally, assess permanent establishment and corporate residence against the business's activities and relevant treaty. Inland Revenue's company tax guidance provides those distinct tests. An EOR employment contract alone cannot establish a tax exemption for your business.
Compare costs on the same basis
Use the same workers, salary, benefits, headcount and months on both sides. The examples below assume ordinary office employees, all NZ citizens aged 30, participating in KiwiSaver without a savings suspension or temporary rate reduction. Each receives NZ$90,000 gross annual salary, paid monthly, plus the same benefits. No immigration application or regulated activity is included.
Salary, paid-leave provision and equivalent employer contributions are excluded from both route totals. Inland Revenue confirms the KiwiSaver rate changes: the default employer rate is 3.5% from April 1, 2026, rising to 4% from April 1, 2028, subject to eligibility and exceptions. A plan crossing that date must update both sides. ESCT is deducted from employer contributions; do not automatically add it again on top of a gross contribution budget.
The commercial figures below are replaceable arithmetic assumptions, not New Zealand market quotes, Borderless pricing or evidenced country budgets. Registry fees come from the official schedule. The decisive service, internal-effort and company-support budgets are illustrative assumptions.
Commercial assumptions exclude GST and income-tax effects. Official fee observations include GST as labelled; they are reference amounts within the assumed budgets. Actual tax treatment and recoverability must be reconciled consistently in quotations. No financing cost, inflation or currency conversion is assumed. Shared employee costs remain payable and are not savings from either route.
Three headcount and time-horizon scenarios
These plans hold staffing constant from the first month. They compare an accepted, suitable EOR arrangement with a subsidiary, not with the separate direct-foreign-employer route. Do not apply the figures to an unapproved migrant placement.
EOR route cost is NZ$1,000 setup and exit combined, plus employees × NZ$975 × months. Entity route cost is NZ$9,000 setup and closure combined, plus NZ$1,500 × months, plus employees × NZ$125 × months.
For five employees, the calculation is NZ$1,000 + 5 × NZ$975 × 24 = NZ$118,000, versus NZ$9,000 + NZ$1,500 × 24 + 5 × NZ$125 × 24 = NZ$60,000.
Now change only fixed entity overhead to NZ$4,000 monthly, for example to include additional governance and management capacity. The entity illustration becomes NZ$9,000 + NZ$96,000 + NZ$15,000 = NZ$120,000. EOR becomes slightly cheaper at NZ$118,000. The assumed entity advantage disappears without changing headcount.
The usable relationship is: compare EOR setup + employee-months × all-in route fee + exit against entity setup + months × fixed overhead + employee-months × variable administration + closure. Actual fees, support scope and exit work remain unresolved quote variables. There is no evidenced NZ crossover headcount here. For phased hiring, calculate each period separately instead of charging the final team size from month one.
How to move between routes later
Treat migration as a coordinated employment and operating change. Budget any overlap between the old arrangement and the new payroll readiness date.
- Confirm the destination. Identify the legal employer, registrations, payroll owner and applicable operating permissions before giving service notice.
- Classify the employment change. A new employer is different from a share sale that leaves the employer unchanged. Review agreements, employee-protection provisions and any consultation or transfer rights. Employment NZ's transfer guidance explains additional protections for specified workers in qualifying restructures.
- Agree employment terms and entitlements. Document employee acceptance where required, service recognition, benefits, leave treatment and final-pay responsibility. Do not assume every balance automatically transfers or that accrued rights can simply be reset.
- Resolve immigration first. The current Job Change instructions include an exception for qualifying business sales or restructures; other moves may require a valid Job Check and normal approval steps. Calling a move a payroll migration does not establish that exception.
- Close each relationship properly. Separate provider notice and exit charges from employment notice, lawful process and employee payments. If closing a subsidiary, complete tax and creditor work before registry removal. A free removal application does not make closure costless.
For the broader employment obligations behind these steps, see our NZ employment-law guide.
Decide what to confirm before committing
Ask for the documents that can change the recommendation:
- The proposed employment and service agreements, naming the employer and assigning decision responsibilities.
- A role, worksite and immigration assessment, including triangular placement eligibility where relevant.
- A foreign-company registration and tax-presence assessment based on actual duties and contracting authority.
- A scoped entity operating proposal covering director arrangements, accounting, payroll, HR, insurance and internal effort.
- A matched cost worksheet separating consumed expenses, funding requirements and employee liabilities, plus a written migration or exit plan.
Can we use the overseas company instead of a subsidiary?
Potentially. Determine whether its activities require Overseas Register registration, how employer taxes will be collected and what corporate-tax exposure arises. PAYE registration and incorporation are different decisions.
Does a long assignment automatically require an entity?
Assignment length alone does not settle employer identity. The real employment relationship, visa conditions, contracts and business activity remain decisive. Reassess when the role or operation changes.
Can an EOR support an AEWV worker for an offshore client?
That requires case-specific confirmation. Triangular accreditation includes client checks such as an NZBN check, monitoring and placement conditions. Do not assume a generic country service listing establishes eligibility for an offshore client without an NZBN.
What would make the entity case stronger?
A durable operating business, sufficient management capacity and a scoped proposal that remains attractive after payroll, HR, governance and exit costs. Replace the illustrative figures before making the financial commitment.
Is ending the EOR service enough to end employment?
No. Service termination and the employment relationship require separate treatment. Plan employee rights, final pay, any new employment and visa permission before ending the commercial arrangement.
Borderless AI's EOR service covers employment administration including onboarding, payroll and employment agreements. Bring your NZ role, work rights, headcount forecast and operating plans to a discussion of arrangement suitability and a scoped proposal. Confirm the particular employing arrangement and any migration requirements before committing.
