Key Takeaways

  • A foreign company can hire in Finland without incorporation if it meets applicable work-right, employment-term, tax, insurance and reporting duties.
  • A nonresident employer without Finnish income-tax permanent establishment generally need not join the Employer Register, but insurance and earnings-reporting obligations can remain.
  • An EOR must be the actual employer in a valid, consented assignment; identify the applicable collective agreement and verify work authorization before the first shift.

A foreign company can employ someone working in Finland without incorporating there if it clears the applicable tax, work-right, employment-term, insurance and reporting gates. An employer of record (EOR) is a separate route when it is the worker's actual legal employer in a valid assignment.

Can you hire an employee in Finland without incorporating?

Often, yes. Incorporation, Finnish tax presence and Employer Register membership are different. A nonresident foreign employer without a Finnish income-tax permanent establishment (PE) generally need not join the Employer Register, though it may register voluntarily. PE or Finnish tax residence can change withholding and registration. A Finnish branch is separate; one local worker does not automatically require incorporation. See Vero and the Trade Register.

Even without PE, Finnish terms, insurance and wage reporting still matter. Work in Finland is ordinarily insured there unless a valid certificate or another exception applies, as explained by the Finnish Centre for Pensions. Vero recommends a Finnish Business ID, but allows a foreign identifier for reporting.

Choose a permitted employment route

RouteWhen availableWho is the legal employerWhat must be in place
Direct foreign employmentThe foreign company can meet Finnish employer duties and its tax, registration and reporting position is establishedForeign companyWork right, applicable terms, PE and Employer Register decision, Finnish insurance or valid certificate, payroll and reporting setup
EOR or labour-leasing employmentThe parties use a genuine employee assignment and the provider can employ the person for the actual roleEOR or other employment providerThe provider is the contract employer; worker consents to assignment; the applicable collective agreement and client duties are identified; work right, insurance, payroll and service scope are confirmed
Finnish company or branchThe employer's operational, tax or regulatory facts call for a local operationFinnish company or foreign trader through its registered branchSeparate incorporation or branch, tax and registry steps; this is outside the no-entity objective

The Employment Contracts Act requires worker consent for assignment to a user enterprise. The client directs and supervises work and takes on duties tied directly to performing and arranging it. For an EOR, first check whether a collective agreement binding the actual employer covers the work. If none does, the statutory fallback may use an agreement binding the user enterprise or a generally applicable CBA; if neither applies, pay, hours and annual leave must at least match agreements or practices generally applied there. This hierarchy was addressed by the Supreme Court. A contractor label or payroll-only service cannot replace an employee employer when the facts are employment.

Confirm the person, job and work location are eligible

  • Work authorization: Verify the right for this employer and job. A Finnish citizen has no permit gate. EU/EEA and Swiss nationals generally need no Finnish work permit; EU residence registration after three months is separate (InfoFinland). Third-country permits can limit employer, field or job; a required first work-based permit generally must issue before work. Residence alone is not proof. Check the actual permit category with Migri.
  • Worksite: Record the actual work location. This route and example cover mainland Finland. Åland has a separate business-right regime. Before work there, ask its Government whether the company's activities require permission; a one-worker arrangement is not automatically established as a trigger, and permission is not the same as incorporation (PRH guidance).
  • Work category: Identify the role, sector, worksite rules and applicable collective agreement before agreeing salary, hours, supplements and leave. Regulated work or client-site work may add conditions.
  • New hire or posting: A new hire working habitually in Finland is not posted merely because the employer is foreign. A1 or another certificate changes insurance only when the actual facts and certificate qualify.
  • Employer facts: Assess PE, Finnish tax residence, branch or other local business activity separately from Employer Register status. A required Finnish home office, local management, customer activity or dependent sales role warrants a fact-specific PE assessment.

Do not start without required work authorization or applicable accident cover. Accident insurance must be effective at commencement when annual employer wages exceed €1,500 (Vero insurance rules). Plan to confirm preventive occupational-health services before work; schedule the workplace survey and action plan with the provider. Confirm pension and unemployment timing separately.

Prepare the offer and country employment terms

Decision or documentRequired informationResponsible partyDeadline or dependency
Employment agreement and particularsEmployer/employee, start, duties, worksite, pay, hours, CBA, leave and notice; add fixed-term reason/end and other required items where relevantActual legal employer and employeeSign complete terms before work where possible. If absent, current Act §4 requires items 1 to 8 within 7 days and 9 to 15 within one month after starting. Narrow exception: average work no more than 3 hours weekly over 4 consecutive weeks.
Collective agreement and compensationApplicable agreement based on actual employer, sector and work; salary, working time, supplements, annual leave and benefitsDirect employer, or EOR with client factsCheck before the offer. Do not assume one national minimum salary or that the client agreement automatically governs an EOR hire.
Work right and identityIdentity and evidence this worker can perform this job for this employerEmployer and worker; immigration authority decides permitMust be clear before work. Some valid-permit hires require an employer notice within 7 days unless terms were submitted with the permit application (Migri employer guidance).
Tax, identifiers and payrollTax-residence/PE analysis, Employer Register and prepayment-register status, foreign or Finnish identifier, bank details and worker tax-prepayment planEmployer, with worker and Tax Administration as neededBefore payroll is configured. A no-PE employer may report with a foreign identifier; confirm the actual reporting trigger.
Insurance and occupational healthFinnish pension and unemployment coverage, accident policy where required, applicable A1 or other certificate, preventive occupational healthcareEmployer and insurer/health providerMeet each insurance scheme's deadline; applicable accident cover must be effective at work start. Planning target: have the preventive-health service agreement ready before work and agree the provider's survey and action-plan schedule. Suomi.fi explains the required arrangements.
Work arrangements and recordsWork location, working time, safety instructions, data access, expenses and any regulated/client-site requirementsEmployer and, in an assignment, user enterpriseBefore the employee begins; set time and payroll data collection so the first payment can be calculated correctly.

As a practical measure, record terms in a language the employee understands; check the applicable CBA and sector requirements for any additional rule.

Complete the hire from agreement to first payroll

  1. Choose route: Hiring company, after role/site are known, records direct/EOR choice and actual employer, and obtains worker consent for assignment; retain route note and consent.
  2. Verify gates: Legal employer checks job permission and its register position after identity/work-right documents arrive. The hiring company separately assesses its PE and tax residence; retain permission evidence and tax/register decisions.
  3. Agree terms: Employer and worker, after route is chosen, check CBA and sign pay, hours, site, start and payday; retain CBA mapping, contract and assignment duty split.
  4. Set coverage: Employer, after work-pattern/A1 check, confirms Finnish cover or certificate, meets scheme deadlines and activates required accident cover at start; retain insurer proof. Arrange health service before work as a conservative gate; retain agreement and track provider survey/plan.
  5. Build payroll: Employer/payroll operator, after signed terms and coverage classification, collect ID, bank, pay/time and tax data; retain approved payroll register and reporting-access confirmation.
  6. Fund run: Hiring company, after inputs are approved, funds its payroll or the EOR under agreed commercial terms. Legal employer ensures wages are funded for payday; retain run approval and funding proof. Example dates are assumptions.
  7. Pay/file: Employer, on payday and after the pay run is approved, makes wages available, gives an itemized calculation and files triggered reports; retain bank proof, payslip and receipt.

Worked example, all facts hypothetical: ExampleCo Ltd is a foreign corporation, nonresident for Finnish tax, with no Finnish PE and no voluntary Employer Register or prepayment-register enrollment. It directly hires a Finland-resident Finnish citizen, age 35, with unrestricted work rights, on an indefinite contract as a software analyst working from Helsinki on the mainland. The worker is not a part-owner. Work is not customer-facing or regulated. There is no A1 or other certificate, so Finnish insurance applies. The applicable CBA and terms have been checked and satisfied. The parties agree a full November gross salary of €5,000 despite the Monday, 2 November 2026 start. These assumptions are not a real clearance.

DateAction and completion evidenceIf the gate fails
Before Mon 2 NovExampleCo verifies identity/right, records its foreign company identifier and no-PE/register assessment, checks CBA and signs terms. With the €5,000 salary, applicable accident cover must be effective at start. It has the health-service agreement ready as its chosen planning gate.If permission, required accident cover or occupational-health arrangement is not ready, defer work; honor any existing contractual pay obligation. Track the survey and action-plan schedule agreed with the provider.
Fri 20 NovAssumed internal payroll-input cutoff; approve salary, bank, identifier, insurance and reporting data.Escalate late inputs to manual/off-cycle processing; cutoff does not excuse late wages.
Thu 26 NovAssumed internal date to clear funds for gross pay and employer costs.ExampleCo must top up or pay another way in time; it still owes the wages.
Mon 30 NovAgreed monthly payday; make salary available and provide itemized pay calculation. An internal cutoff or report date cannot extend payday.
By Mon 7 DecFile the Incomes Register earnings report within five calendar days after pay is available. Day 5 is Sat 5 Dec; Sun 6 Dec is Independence Day, so the next banking day is Mon 7 Dec. No separate monthly report is due on these assumptions.Correct a missed report promptly; it does not delay start or salary.

Under these assumptions, the employee starts on 2 November, receives salary on 30 November, and ExampleCo's earnings report is assumed accepted by 7 December. This is a hypothetical outcome, not a real filing.

Budget and prepare the first payment

Separate these components when planning the first payment:

  • Gross salary, recurring: the amount agreed in the contract and CBA. Fund the full gross plus employer-side costs; employee deductions are withheld from gross.
  • Employer statutory costs, recurring: pension and unemployment contributions, plus accident insurance where applicable. Rates and bases depend on the contribution year, employer payroll tier, employee age/earnings and insurer terms. Accident cover must be effective at start when required; preventive occupational healthcare is mandatory and its price depends on the arrangement.
  • Conditional tax contribution: the employer health-insurance contribution depends on tax presence and employer status. Under the example's no-PE, nonresident facts it is zero; do not apply that result to a Finnish EOR or PE employer.
  • Service fee, recurring or quoted setup: no EOR fee applies in the direct-employment example, though payroll administration or occupational-health services may still cost money. For an EOR route, use the provider's actual Finland quote and clarify what is included.
  • Other conditional items, one-time or usage-based: authorization, equipment, translation or role-specific cover only if required.

The cutoff and funding dates are assumptions, not universal payroll deadlines. Revisit withholding and separate reporting if PE or voluntary registration applies.

For the example, €5,000 gross produces employee TyEL at 7.30% (€365) and unemployment insurance at 0.89% (€44.50). With no other deductions or employer wage-tax withholding, €4,590.50 is payable to the employee before personal tax prepayments. The employee arranges prepayments with Vero; this is not after income tax. Employer unemployment contribution is €15.50 only if the low payroll tier and wage threshold apply. Employer health contribution is €0 under the assumed no-PE nonresident facts, even though the employee is Finnish-insured, under Vero's international guidance. Pension and accident amounts depend on employer, worker, role and insurer terms; check any CBA-required cover. See 2026 contribution rates and the Employment Fund rate table.

What your company still manages after the hire

The employer supplies accurate payroll and employee-change data, maintains insurance and preventive healthcare, and follows the CBA, work-time and safety rules. Check statutory sick pay and paid annual leave alongside any better CBA terms (Employment Contracts Act; Annual Holidays Act). In an EOR assignment, the user enterprise directs and supervises work and provides the legal employer the facts it needs. For broader obligations, see Finland employment law. Keep employee data secure and document authorized changes. Reassess PE, tax and permission if the role or worksite changes.

Questions about hiring without an entity in Finland

Can a foreign company employ without joining the Employer Register? A nonresident foreign employer without Finnish income-tax PE generally need not join, but Finnish insurance and earnings reporting may still apply. PE, tax residence or voluntary registration changes the analysis. See Vero's guidance.

Can the employee start before a first work permit is issued? Not when a first work-based permit is required. Existing rights depend on the exact permit and job. Confirm authorization before the first shift.

Does the client's collective agreement always apply to an EOR employee? No. Identify the actual legal employer and any agreement binding it; Finnish law provides a conditional user-enterprise fallback.

Can an employer without a Finnish Business ID report pay? Yes, Vero allows a foreign identifier, though it recommends a Finnish Business ID. Confirm reporting access before payday.

What if the earnings report is filed after payday? It is due within five calendar days, subject to the next-business-day rule. That does not postpone payday or authorize work before the start gates are met.

Borderless AI's EOR service covers onboarding, contracts, payroll and benefits. Discuss whether it fits your Finland hire, then confirm the actual employer, scope, funding and quote for the role.
