Key Takeaways

  • Swedish employer registration lets an existing foreign company employ directly without creating a subsidiary; branch requirements, tax presence and work permission still need separate assessments.
  • For covered EOR agency work, more than 24 months in 36 at the same operating unit triggers an offer-or-compensation duty, subject to exceptions and qualifying collective-agreement variations.
  • Verify the actual worker permission, employer setup, employment information and benefit coverage before approving work; an address or Swedish identity number does not establish job eligibility.
  • The example's 18.80% contribution rate applies to its qualifying no-permanent-establishment foreign-employer premises, not automatically to a Swedish EOR invoice. Funding cutoffs do not change the agreed salary date.

Can you hire an employee in Sweden without incorporating?

Yes. A foreign company can employ someone directly through Swedish employer registration, or use an employer of record (EOR) that becomes the legal employer. The person, role and business activities must fit the chosen arrangement.

Sweden's tax authority provides a foreign-business registration service, including employer registration and a Swedish corporate identity number for the existing foreign company. That number does not incorporate a Swedish subsidiary.

Check business registration separately. Skatteverket's foreign-company guide directs companies to establish whether Bolagsverket requires a branch. A no-incorporation hire can still involve local registrations, Swedish employment obligations and corporate-tax exposure.

Choose a permitted employment route

Decide who will sign the employment agreement before issuing the offer.

A branch is part of the foreign company, without separate legal personality. Whether one is required depends on the business and applicable exceptions under the Foreign Branches Act. Do not treat an EEA address as an automatic exemption.

An EOR arrangement also needs a legal assessment beyond its label. Sweden's Agency Work Act covers employees hired to work under a client company's control and management. Where it applies, review equal-treatment obligations and assignment history.

More than 24 months at the same operating unit within 36 months triggers the client's duty to offer permanent employment or pay compensation equal to two current monthly salaries, within one month of crossing the threshold. Statutory exceptions and qualifying collective-agreement variations matter. Build that review into a long assignment from the outset.

For an employer ready to own Swedish employment administration, direct registration is a real option. An EOR may fit when you want another company to employ the person and administer the arrangement. Payroll software or a payroll bureau processes your obligations; it does not itself become the employer. Calling an employee a contractor does not complete an employee hire.

Confirm the person, job and work location are eligible

Before promising a start date, establish:

  • Work permission: Verify citizenship or the actual permission decision. A Swedish address or personal identity number alone does not establish permission for this job.
  • Employer restrictions: Identify the legal employer on both the agreement and any employer-specific permit.
  • Role and location: Record actual duties, Swedish worksite, home-working arrangements and travel. Identify any regulated work or occupational authorization.
  • Employment category: Establish indefinite, probationary or a permitted fixed-term arrangement and the applicable collective agreement.
  • Assignment structure: For an EOR, document who directs the work, the operating unit and previous qualifying assignment time.
  • Business facts: Review activities, management location and contract-signing authority separately from payroll registration.

EU/EEA citizens do not need Swedish work permits. Third-country nationals may need permission or qualify for an exemption. Check the Migration Agency's employee permit rules for the actual category.

For a new permit case, recruitment, salary, insurance and employer requirements can change the schedule. Current rules include a salary requirement linked to the median wage for many applicants and additional scrutiny for specified industries, including staffing. The employer guidance does not establish that every EOR-labelled arrangement can sponsor.

Stop condition: If the proposed employee lacks permission for the intended work and employer, defer commencement until the applicable permission or lawful exception allows work. Changing the name on the employment agreement does not solve that dependency.

Prepare the offer and Swedish employment terms

The employer should deliver a complete written agreement and information package before work begins. Distinguish that practical target from the statutory information deadlines.

Decision or documentRequired informationResponsible partyDeadline or dependency
Employer and workplaceLegal names, addresses, start date, work location and dutiesLegal employer, with company and worker inputsCore information as soon as possible, no later than seventh calendar day after work starts
Contract categoryIndefinite, probationary or permitted fixed term; relevant duration and conditionsLegal employerSame core deadline; special fixed-term information is due when that agreement is concluded

Remaining employment informationLeave, training, termination process, social-security protection and applicable collective agreementLegal employerSpecified remaining information within one month after starting
Worker and payroll dataVerified identity, address, tax decision if any, bank details and relevant social-insurance positionWorker supplies; employer/payroll verifiesOperationally complete before payroll approval
Permission and benefitsApplicable permission, insurance and pension arrangementsLegal employer, worker and relevant providersPermission before work where required; benefits by applicable legal, permit or agreement requirement

The Employment Protection Act section 6c sets the information categories and deadlines. Applicable collective agreements can modify specified rules within statutory limits. Agency-client information has its own timing when the client becomes known.

Use terms the worker understands and resolve translations before approval. Do not assume that signing an English template establishes the correct Swedish package. Confirm the employing company's collective-agreement position and individual pension, insurance and leave terms. Our Sweden employment guide covers the broader obligations.

Complete the hire from agreement to first payroll

Use this sequence for either employment route, assigning each employer task to the company that actually employs the person.

  1. Clear the route. Your company documents business activities and obtains the branch, tax-presence and assignment assessment. Completion evidence is a recorded decision and any required registration.
  2. Verify permission. The employer checks the worker's documents against the role and employing company. Retain the result before authorizing work.
  3. Complete the employer file. The direct employer submits its foreign-business registration and supporting corporate documents; an EOR confirms its employing company's registration. Appoint the payroll filer and establish account access.
  4. Agree employment terms. The employer and worker approve the agreement; the client supplies accurate duties, hours, location and compensation. Record benefit setup and the delivered information.
  5. Release the start. The employer confirms legal readiness; the manager confirms equipment, instructions and safe working arrangements. A target date alone is insufficient.
  6. Approve and fund payroll. Payroll verifies employee data, deductions and employer charges. Finance funds the agreed payment route before its operational cutoff.
  7. Pay, report and reconcile. The employer pays the employee, provides pay information, files the payment month's employer return and remits deductions and contributions. Keep payment and filing receipts.

The registration service requests evidence of the foreign company's existence, including its foreign identity, address and signatories. Skatteverket says an unregistered employer must apply before first salary. Build enough lead time to make payroll operational; that filing deadline is not a guaranteed registration turnaround.

Worked example: November start and first salary

Assume a fictional EEA company, ExampleCo, directly employs a 35-year-old Swedish citizen living and working in Sweden. ExampleCo is the legal employer. The person is a software engineer working from an agreed home workplace in Stockholm, with no authority to conclude customer contracts. Its branch requirement has been assessed and any required registration completed; it has no Swedish permanent establishment, its employer registration is effective, and Swedish social-insurance coverage applies. There is no posting exception, employee contribution-payment agreement or collective agreement changing the information deadlines.

Assume indefinite employment, SEK 50,000 gross November salary, no taxable benefits or absences in that payroll, and annual turnover no greater than SEK 40 million. The agreed salary date is Wednesday, 25 November 2026. This is an illustrative agreement, not a national payday.

Wednesday, 2 DecemberStatutory outer limit for remaining specified informationDelivery record; already completed on 30 OctoberEmployer
Monday, 14 DecemberNovember employer return and tax/contribution paymentFiling receipt and tax-account creditPayroll filer and finance

The October, cutoff and funding dates are scenario assumptions. The information deadlines follow the Act; the 2026 payroll calendar supplies 14 December for November payments at this turnover.

If route or permission readiness fails, the employer withholds start authorization and agrees a revised start. If an information deadline is missed after work begins, the employer must repair the breach immediately; this does not erase wages owed. The payroll lead must resolve missing data after the 13 November cutoff. If funding misses 20 November, finance must arrange an alternative that still pays on 25 November. A missed operational cutoff cannot authorize late wages. If the 14 December filing or remittance is missed, payroll and finance must submit the return and pay immediately; the original deadline remains breached.

Under these assumptions, the person starts on 2 November, receives first salary on 25 November and the employer completes November reporting and remittance by 14 December. There is no universal hiring-duration promise.

Budget and prepare the first payment

Separate employee gross pay, employer charges and service costs.

Cost or cash layerExample or treatment
November gross salaryAssumed SEK 50,000
Preliminary tax deducted from salarySEK 15,000 at 30%, assuming no different Skatteverket decision
Employee bank paymentSEK 35,000
Employer contributionsSEK 9,400 at 18.80% of SEK 50,000 under the no-PE assumptions
Salary plus employer contributionsSEK 59,400; excludes the additional layers below
Other recurring employment costsApplicable pension, insurance, holiday supplement, benefits and related charges, priced separately
Service and conditional costsPayroll administration or EOR fee; any setup, currency conversion, equipment or permit costs that actually apply

The 2026 contribution table distinguishes the ordinary foreign-employer rate without permanent establishment, 18.80%, from the full Swedish-employer rate, 31.42%. Age, payment date, reductions and social-insurance coverage can change the result. Do not transfer ExampleCo's rate to a Swedish EOR invoice.

For a no-PE foreign employer, the withholding default is 30% unless Skatteverket directs otherwise. This deduction reduces net pay; it is not another employer cost.

ExampleCo pays SEK 35,000 to the worker on 25 November and credits SEK 24,400 to its tax account by 14 December: SEK 15,000 withheld plus SEK 9,400 employer contributions. These reconcile to SEK 59,400 before separately priced items. November is the reporting month because payment occurs in November.

The same calendar does not fit every employer: turnover above SEK 40 million has a different return deadline and a separate payment schedule. Confirm both clocks. For broader budgeting, use our Sweden hiring-cost guide, whose main scenarios use Swedish-employer assumptions.

What your company still manages after the hire

Keep the operating arrangement accurate:

  • Give payroll timely approved changes to salary, hours, absences, benefits and work location.
  • Coordinate workplace risks, instructions, equipment and incident reporting. The employer retains work-environment responsibility.
  • For client-controlled agency work, track assignment duration and client duties.
  • Review contract-signing authority, local sales activity and worksite changes for tax or business-registration consequences.
  • Route employment changes through the legal employer and limit access to employee data to the people who need it.

An EOR agreement does not itself settle your company's permanent-establishment exposure or authorize regulated business activity. Direct employment leaves your foreign company responsible for the employment operation it has chosen.

Questions about hiring without an entity in Sweden

Does Swedish employer registration create a subsidiary?

No. It registers the existing foreign company for the relevant tax duties. Branch registration and corporate-tax presence require separate assessments.

Can we use a payroll provider while remaining the employer?

Yes, within a permitted direct-employment arrangement. Assign processing and filing tasks expressly; your foreign company remains the legal employer.

Can an existing resident start immediately?

Only after checking the person's actual work rights and the arrangement's readiness. Residence alone does not establish permission for a particular employer or occupation.

Is an EOR limited to 24 months?

The Agency Work Act does not impose a simple universal 24-month ban. Its qualifying assignment threshold creates a client offer-or-compensation duty, subject to exceptions and agreement variations.

Does missing the payroll cutoff move the salary date?

A provider's operational cutoff does not automatically change the agreed wage obligation. Resolve funding or processing failures with the legal employer before the payment falls due.
