Key Takeaways

  • Confirm the employer, applicable collective terms, coverage and payroll readiness before supplier exit; an EOR must confirm its own responsibilities and calendar.
  • The worked €6,700 invoice includes €200 of work costs, while the proposal is €5,000 gross salary with work purchases and employer protection funded separately.
  • Genuine contractor tenure does not automatically create employee service or leave; separately assess whether earlier work was already employment.

To convert an existing contractor into an employee in Finland, agree the employee package and treatment of existing rights, confirm the employer can start employment, and coordinate the end of supplier service with the employee start. Check whether the earlier relationship was genuinely contracting before treating it as a new beginning.

The applicable collective agreement, occupational health and first-day protection shape the offer and start. Payroll declarations and payments then continue on their own schedule.

What changes when a contractor becomes an employee in Finland?

Keep the existing worker involved in the pay comparison and proposed timetable. The company needs an accepted employee package and a workable supplier exit before confirming the cutover.

Establish status, work rights and the employment route

Finnish employment status depends on the actual relationship: personal work for remuneration under another party's direction and supervision. Ambiguous cases require an overall assessment. Working remotely or using personal equipment does not itself establish independence. Review instructions, scheduling, supervision and business risk against the employment test.

If the facts indicate earlier employment, establish the relevant service period and reconcile potential wage, leave, tax and insurance consequences. A new agreement cannot establish that the past was compliant or automatically reset service.

Choose the employer before issuing the offer:

  • Finnish company: use its payroll and employment arrangements. The worked example below follows this route.
  • Foreign company employing directly: Finnish obligations can arise without a local entity. A foreign employer without a permanent establishment and outside the Employer Register generally does not withhold Finnish income tax; the resident employee may need prepayments. Reporting and social insurance still require separate assessment. Follow the foreign-employer rules, including permanent-establishment and registration treatment.
  • EOR or agency arrangement: identify the agency employer and customer agreement, applicable employment terms and division of supervision and safety responsibilities. Finnish agency-work guidance distinguishes those parties. Obtain confirmation for the actual activity and worker before committing to a start.

For a foreign national, inspect the actual right to perform the proposed employee work throughout employment. Previous freelance activity does not answer that question. The ordinary example uses a Finnish citizen; it requires no immigration-permit change.

Confirm the handoff before ending supplier service

For a foreign company using a prospective employer or EOR, agree a written responsibility list for this conversion. Finnish agency guidance separates the worker's employer from the customer; confirm the division for the particular arrangement.

  • Your company supplies the actual contractor agreement, notice/consent requirements, last-service and invoice details, and existing IP records, including the correct supplier signatory.
  • The worker supplies identity, relevant work-permission evidence, wage tax-card data and bank details, and accepts the employee terms.
  • The prospective legal employer confirms the accepted package, CBA assessment, service/leave/probation and IP treatment, work eligibility, coverage effective dates, payroll-input deadline and start. Name who arranges each item and who confirms readiness.

Complete that confirmation before the supplier exit becomes irreversible. Keep later filing and payment dates on the handoff schedule. Our EOR overview explains the broader arrangement.

Agree the offer, start date and treatment of existing rights

Identify the collective agreement before pricing the offer

Determine the employer's sector, duties, association obligations and any generally binding collective agreement. Finnish minimum-terms rules can require agreement terms even where the employer has not chosen to join that agreement.

Prepare the complete written package before work starts. If particulars are missing from a written contract, the statutory disclosure groups have separate clocks: core items within seven days of starting work, remaining specified items within one month. This full-time example falls outside the low-hours exception.

Holiday weekdays can include Saturday. Sundays and the statutory holiday/eve exclusions do not count; ten statutory weekdays need not mean ten Monday-to-Friday days off.

Keep the IP boundary visible

Under Finnish software copyright rules, copyright in software and directly related works created in employee duties passes to the employer by default, subject to agreement terms and statutory exceptions. Other work products need their own rights review. This default does not automatically transfer earlier genuine-contractor work. Obtain any missing assignment or licence from the actual rights holder. Patentable employee inventions have a separate regime, including protected compensation rights.

Compare the old invoice with the employee package

Use the old fee and the proposed package as different measures. A lower salary figure does not by itself establish employer savings or equivalent worker take-home pay.

Explicitly hypothetical monthly comparison: the contractor invoices €6,500 for services plus €200 of documented work costs, or €6,700 before any applicable VAT. The proposal is €5,000 gross salary, statutory paid entitlements and employer-funded protection; the employer buys the equivalent €200 of work items directly. Assume a 35-year-old ordinary employee insured in Finland with no ownership exception. Contribution figures use 2026 rules.

ItemContractor arrangementEmployee proposalWho pays or decides
Service fee versus salary€6,500 monthly fee, excluding VAT€5,000 gross salary; first November amount expressly agreedEmployer and worker agree lawful terms
Work costs€200 separately invoiced; €6,700 total before applicable VATEmployer buys €200 of equivalent work items directly; salary remains €5,000Employer sets purchasing/reimbursement policy; check tax treatment
Paid absence and bonusAssume fees stop during time offPaid holiday and sickness rights; holiday bonus if requiredLaw, applicable agreement and contract
Worker deductionsSupplier handles its own business taxes and protection; no old net-income assumptionPension 7.30% = €365; unemployment 0.89% = €44.50; personal withholding additionalEmployer deducts €409.50 plus tax withholding from gross
Employer-only protectionNot separately charged in this assumed invoiceEmployer pension share, health, unemployment, accident cover and occupational health; group life where requiredEmployer funds these beyond salary; obtain quotes

The €1,500 difference between the service fee and gross salary must be assessed alongside paid absence, benefits and the worker's changed tax/contribution position. The €200 cost line is not salary. Employee health insurance is already within tax-card withholding. Employer health on this simple €5,000 wage base is €95.50 at 1.91%. This bridge values selected components; it establishes neither equal net pay nor a complete employment budget.

Complete the country conversion steps

  1. Confirm the handoff. The company, prospective employer and worker complete the responsibility list above and identify the owner of the start decision.
  2. Execute the supplier exit. The commercial owner obtains the correct supplier's notice or mutual consent and records remaining fees, deliverables, expenses and surviving obligations.
  3. Complete employee documents. The legal employer and worker sign the package and rights decisions. Give the employee their copy; track any missing statutory particulars.
  4. Activate protection and complete insurer data. The example exceeds the €1,500 annual employer-wage threshold for accident insurance. The insurance law requires policy cover before work and initial information at application or within 14 days of policy commencement. Arrange occupational health and pension. Pension law requires arrangements before earnings reporting is due; pre-start completion is the operating target.
  5. Approve payroll setup. The payroll owner checks worker inputs, insurance flags, reporting authority and employer category. This one-regular-employee company is a casual tax employer without compulsory Employer Register entry; its permanent worker still requires contractual pension insurance.
  6. Pay the first salary. The legal employer approves the calculation and makes net pay available on payday, delivering the payslip under payment rules.
  7. Complete the scheduled tail. The accountable employer obtains both report acceptances and separate remittance records. Deliver the annual employee statement under section 35 and annual insurer-requested information; Incomes Register data need not be duplicated.

Worked Helsinki cutover

This hypothetical Helsinki-based Finnish limited company hires its first permanent employee, a Finnish citizen and Finnish tax resident aged 35 working only in Helsinki with Finnish social insurance and no A1 exception. Last contractor service is 1 November 2026, employment starts 2 November, and monthly payroll pays an expressly agreed €5,000 November gross on 30 November. This is an agreed illustration, not a statutory part-month formula. Actual collective-agreement requirements must be resolved before signing. Accident cover is assumed effective on 2 November. The supplier invoice is assumed issued on 2 November with an agreed 14-day term.

The employer uses monthly tax periods and ordinary electronic reporting. An EOR may have a different employer-wide category: request its confirmed calendar instead of assuming this one-worker classification. Municipal income tax enters the employee's tax-card calculation under the withholding decision; Helsinki's 2026 decision does not mean adding its municipal rate as another payslip deduction. For this ordinary Helsinki office-work case, no separate city employer payroll-tax registration, return or remittance applies. The city's 2026 tax schedule comprises municipal income, corporate and property tax receipts; the latter two are separate tax bases, rather than additional charges on this wage cycle.

The reporting deadlines move weekend or holiday endpoints to the next business day. The tax-payment rules and weekend rule produce 14 December. Pension follows the selected insurer's billing terms; unemployment follows the Employment Fund. January settlement of 2026 wages uses the relevant 2026 contribution basis.

Close the contractor engagement and verify first payroll

Close the supplier file with the correct party's consent/notice, accepted work, final invoice and expenses, payment evidence, IP grants and surviving claims. Reconcile equipment, data and access so the worker can continue without duplicate billing.

Check the first payslip against the agreed gross, benefits, tax card, employee pension/unemployment deductions and bank payment. Confirm opening service/leave records and benefit access. Keep three distinct proof sets:

  • Start readiness: employee terms, work eligibility, effective protection and payroll inputs.
  • Supplier settlement: invoice payment, deliverables and rights/access handover.
  • Later completion: the calendar's accepted reports, allocated tax/insurer payments, employee statement and insurer-information receipts, or confirmation no additional insurer data is required.

Assign any open discrepancy to an owner. A completed future payroll does not settle a historical-status or supplier dispute.

Two conversion situations to plan for

Ordinary planned conversion. In the €6,500-fee example, the genuine contractor has no employee leave balance to transfer. With a genuine employee start on 2 November and five qualifying months through March, the worker accrues ten statutory holiday weekdays. Agree any extra service credit separately and include paid absence in the package comparison. The employer/EOR handoff confirms that treatment before supplier termination.

Earlier employment may already exist. The same worker has long worked personally under company direction despite invoicing. Establish the actual status and service period first: earlier employment can change holiday accrual, sickness rights and probation treatment. Reconcile those records and historical liabilities before confirming opening balances; review prior IP grants separately.

Questions about converting contractors in Finland

Must the foreign company incorporate before converting this worker?

Incorporation is not invariably required. The direct-employer and EOR routes need different confirmations, as described above. For the broader service decision, review our EOR services; the conversion still needs its own accepted terms and cutover.

Can the contractor keep invoicing until the first payday?

Use the employee start to separate work periods. In this example, employee work begins on 2 November even though salary arrives on 30 November. Keep the final supplier invoice confined to the agreed earlier services.

Does genuine contractor tenure automatically become employee service?

No universal carryover follows. Record voluntary recognition separately from rights arising because the earlier work was actually employment.

Who pays the final supplier invoice if an EOR becomes the employer?

Identify the debtor under the actual supplier agreement in the handoff. Confirm who approves and pays that invoice separately from employee payroll; a new employer's start confirmation is not evidence that the supplier receivable has been settled.
