Key Takeaways

  • A licensed EOR can suit a limited Czech hiring project; an entity can suit a lasting local operation, while eligible direct foreign employment is a separate option.
  • The usual same-worker, same-user agency limit is 12 consecutive months. Statutory exceptions exist, but a multi-year service contract does not establish lawful continuation.
  • Headcount alone does not establish a cost crossover: the article's replaceable assumptions can reverse the five-person comparison, and salary and common employment costs remain additional.
  • Before moving routes, establish the employment mechanism, service and benefit treatment, work permissions and receiving employer readiness separately from commercial cancellation.

For a small Czech hiring trial, examine a licensed EOR arrangement first. For a lasting operation that needs its own commercial contracts, premises or regulated permissions, examine a Czech entity first. Before comparing fees, establish whether the proposed EOR arrangement is lawful agency employment and whether its duration fits your plan.

The Czech Republic also permits some foreign employers to employ locally without creating a Czech subsidiary. That third route needs separate registration, insurance and tax analysis. Headcount alone cannot choose between these structures.

Which route fits your plans in the Czech Republic?

An EOR can reduce the company administration you establish for a limited hiring project. An entity gives you your own employing and operating company, with continuing responsibilities even after the last employee leaves. The right starting point depends on what the people will actually do.

A worker whose residence permission depends on the employerPermission-compatible route firstThe proposed employer and change must be permitted before work starts.

For example, a one-person product-research project with an uncertain continuation can justify paying for external employment administration. A local sales and service operation with its own customer obligations may justify an entity even at low headcount. Operating the business still needs the appropriate business authorization; an employment arrangement does not supply it.

Which employment routes are available?

Where a provider employs someone and supplies their work under your direction, test the arrangement against Czech agency-employment rules. The Ministry of Labour's agency guidance requires the relevant employment-intermediation permission, written assignment arrangements and conditions no worse than those of a comparable employee. The service's commercial name does not establish compliance.

The 12-month rule has exceptions, not a guaranteed extension

Labour Code section 309(6) allows the same-user limit to be exceeded if the employee asks the agency, or for specified maternity, paternity or parental-leave substitution. Do not assume the employee will request an extension when approving a three-year hiring plan.

An exception also does not establish an unlimited safe duration. EU case law requires attention to successive assignments and abuse. A permanent job can be filled through temporary agency work, but the actual sequence and justification matter. Document the request, assignment purpose and review dates before relying on a longer arrangement.

Foreign nationality requires another check. Agency employment is not categorically unavailable to foreign workers, but permission categories and excluded work matter. An initial agency hire and a subsequent switch into agency employment are different immigration questions. For employee-card holders without free labour-market access, the ordinary employer-change procedure restricts moving to an agency. For a permit-dependent worker, settle the named employer, job and required authorization before comparing prices.

What each route requires your company to manage

Your entity must be ready to operate and employ. Assign an owner to each workstream rather than treating the commercial-register entry as a hiring launch date.

WorkstreamEOR arrangementYour entity
Employment documents and payrollAgency is the legal employer; agree the assignment and employment administration scope.Your company signs employment documents and owns payroll delivery.
Work organization and safetyYou retain user duties for directing work and workplace safety.Your company manages employer duties directly.
Company governanceYou manage the service relationship and your own cross-border obligations.Maintain directors, registered office, beneficial-owner information, accounting and filings.
Banking and fundingConfirm invoice currency, funding deadlines and security requirements.Complete bank due diligence, payment authority and payroll funding arrangements.
Business activity and taxAssess the foreign company's actual Czech activities separately.Establish the entity's activity permissions and corporate, VAT and intercompany tax treatment.

For an s.r.o., settle the founding documents, registered office, directors and necessary trade or sector permissions. Identify beneficial owners and verify the required register information. Banks need to establish actual ownership, rather than relying uncritically on a register. Bank checks and payment approvals belong on the readiness plan even where capital-payment mechanics allow a simpler formation.

The 2026 employer-reporting changes also affect the launch checklist. Set up the Czech Social Security Administration registration and Unified Monthly Employer Report, or JMHZ, process. From 1 July 2026, employer registration is due at least two working days before the first employee starts, no earlier than 15 days beforehand. New employee registration precedes work; eligible Czech citizens can use partial preregistration followed by completion. Health-insurance filings remain separate; JMHZ does not replace them. Put statutory employer-liability insurance and occupational-health and safety arrangements on the same checklist.

Direct foreign employment deserves a separate workstream. An EU employer with a Czech-based employee may have Czech social-security responsibilities without owning an s.r.o. Under EU coordination, temporary posting and multi-state work can change the applicable system. Non-treaty foreign-employer cases can follow materially different insurance rules. Confirm the individual's health-insurance basis as well. Avoid copying an EU registration solution onto every foreign parent.

Employment infrastructure also leaves tax questions open. A Czech home worker does not automatically create a corporate-tax registration obligation merely by being employed. Their actual activity, contract authority and business presence can still create a permanent establishment. An EOR invoice does not decide that analysis. Obtain a written assessment of the role's authority and operating facts before giving a Czech employee responsibility for local contracting or management.

Compare costs on the same basis

Compare the infrastructure around the employment on both sides. A service fee and salary-inclusive payroll answer different questions.

The examples below assume ordinary full-time Czech citizens working in Czech offices, each earning CZK 60,000 gross monthly, with identical hours, benefits and working conditions under both routes. Headcount stays constant from the first month. No immigration, regulated activity or cross-border posting is included. Agency comparability must be checked before treating compensation as identical.

Salary, mandatory employer contributions, paid-leave costs, statutory insurance, equipment and matching benefits are common employment costs excluded from the route totals. For a fuller employment budget, use the separate Czech hiring-cost guide. Reconcile any different insurance classification or benefit entitlement before adding a shared amount to both routes.

Every commercial amount below is a replaceable illustration, not a Czech market quote or a Borderless offer. The assumptions demonstrate the decision method; they do not establish a country break-even point. Amounts are CZK excluding VAT. Nonrecoverable VAT, financing and corporate-tax effects require separate treatment.

Special services and contingent liabilitiesPrice amendments, exceptional advice and employee exits separately.Price exceptional advice, disputes, transfers and closure overruns separately.Unquoted; outside illustrative totals.

Official registration charges are only one component. The government registration page states a CZK 6,000 court first-registration fee for a non-joint-stock company. Other registration routes can have different charges or qualifying exemptions; a filing fee is not an all-in incorporation price. Do not add that fee again to the illustrated CZK 80,000 setup budget, which already includes registration.

An s.r.o.'s minimum contribution can be CZK 1 unless the founding documents set more. That legal minimum says little about cash needed for wages, advice and operations. Capital paid into the company is distinct from fees consumed in forming it; any later loss of capital is another question.

Three headcount and time-horizon scenarios

The 24-month and 36-month EOR illustrations apply only if the assignment remains legally suitable, the relevant duration exception is genuinely available and the temporary-agency assessment supports continuation. If those conditions fail, the EOR entry becomes not available for this case. The arithmetic cannot make the route available.

PlanEOR route costEntity route costMajor assumptionsDecision implication
1 employee, 12 monthsCZK 175,000CZK 392,00012 worker-months; ordinary eligible assignment; setup and exit included.EOR has lower illustrated infrastructure expense for a limited project.
5 employees, 24 monthsCZK 1,333,000, conditionalCZK 740,000120 worker-months; lawful continuation beyond 12 months required for EOR.Entity merits pricing, but higher fixed overhead can reverse this result.
20 employees, 36 monthsCZK 7,657,000, conditionalCZK 1,580,000720 worker-months; duration and temporary-character checks remain necessary.Entity spreads fixed costs across a larger continuing team.

These are route costs, not total hiring budgets. For five employees over 24 months, EOR arithmetic is 10,000 + (5 × 10,500 × 24) + (2,000 × 24) + 15,000 = 1,333,000. Entity arithmetic is 80,000 + (20,000 × 24) + (5 × 1,000 × 24) + 60,000 = 740,000.

Now change only entity fixed overhead to CZK 50,000 monthly. Its five-person, 24-month total becomes CZK 1,460,000, exceeding the illustrated EOR total. That sensitivity changes the decision. Request a combined company-support scope covering accounting, annual work, governance, payroll interfaces and internal effort before using a low monthly price.

The general comparison is EOR setup + worker-month fees + fixed coordination + exit, against entity setup + fixed company overhead + worker administration + exit. Replace every assumption with matching quotes and costed internal time. If hiring ramps up, sum each period's actual headcount. A later migration adds transition work and potentially overlapping fees; it does not give you the full entity saving from day one.

How to move between routes later

Treat the commercial service exit and the employee's legal position as separate decisions.

  1. Classify the move. Test whether a transfer of activity meets section 338 conditions. A change of invoice supplier alone does not establish an automatic employment transfer.
  2. Choose the employment mechanism. Where statutory transfer applies, continuing rights follow the law; the statutory information and consultation process includes a 30-day advance requirement. Otherwise arrange a lawful end and new employment, with the employee's agreement where required. Confirm the treatment of service, leave and benefits expressly.
  3. Complete permissions and readiness. Check employer-specific residence or work conditions, registrations, payroll data, benefit enrollment and the receiving employer's first payment date before setting the cutover.
  4. Close the commercial relationship. Reconcile service notice, assignment terms, final invoices, funding and refunds separately from salary, leave, severance or other employee claims. Ending an assignment does not itself terminate employment.
  5. Close the company if needed. An empty payroll does not dissolve an s.r.o. Maintain its obligations until the appropriate closure and deregistration work is completed.

Do not treat administrative guidance on automatic transfer as a universal ban on mutually agreed termination and rehire. The Supreme Court has recognized that mechanism in a transfer context. It changes the legal basis of continuity and requires its own assessment; it does not let the two companies simply contract out of statutory transfer rules. Plan recognition of prior service and benefits rather than promising everything carries over automatically.

For a provider-to-provider move, the separate EOR switching guide covers the broader handoff. Apply Czech employment and permission requirements to the actual transaction.

Decide what to confirm before committing

Ask for an evidence packet that answers five decisions:

  • Who employs the worker, under which agency permission or direct-employment route?
  • What role, worksite, user and duration are accepted, including any extension basis?
  • Which company and employer registrations, permissions and insurance must exist before work?
  • What do matching service scopes cost, including internal effort, funding, VAT and exit?
  • What employment mechanism, service recognition and permission checks govern a later move?

Is an EOR always better for one employee?

No. A limited eligible project may favor it, but a business permission or operating requirement can favor an entity immediately. Eligible direct foreign employment can also be worth examining.

Must we incorporate after 12 months?

No. Section 309(6) includes exceptions, including an employee request. Confirm the exception and the arrangement's continuing temporary character; a multi-year service contract is insufficient.

Does employer registration protect us from Czech corporate tax?

No. Registration addresses particular obligations. Actual activities and treaty rules determine permanent-establishment exposure separately, including when using an EOR.

Can we move employees to our own entity without losing service?

A qualifying statutory transfer preserves the employment relationship. For termination and a new contract, agree any intended recognition of service and benefits, and review permissions. Identify the mechanism before communicating a move date.

How many employees make an entity cheaper?

There is no evidenced universal threshold. The five-person illustration reverses when fixed overhead changes. Obtain scoped costs and decide legal suitability before adopting a numerical crossover.
