You can hire an employee in Lithuania without incorporating there through an eligible foreign-employer setup or a suitable employer of record arrangement. Start by naming the legal employer, then clear the worker’s eligibility, employment documents and advance notifications before work begins.
Lithuania permits foreign legal persons to be employers and provides registration for foreign social-insurance contribution payers. EOR therefore deserves comparison with direct registration, rather than being treated as the only route. The practical test is whether the chosen arrangement can carry this identified candidate from an accepted offer to lawful work and first salary.
Rules checked October 20, 2026.
Can you hire an employee in Lithuania without incorporating?
Yes, conditionally. Incorporation creates a Lithuanian company. Employer registration enables your existing foreign company to meet applicable Lithuanian obligations while remaining the employer. Whether your activities create a taxable permanent establishment is a separate assessment.
VDI, the Labour Inspectorate, expressly includes foreign legal persons in its employer guidance. VMI, the tax authority, provides foreign-company registration through form FR0227.
Direct employment suits a company willing to own the employment relationship and arrange local administration. EOR places employment with another legal employer, subject to the arrangement’s eligibility. Neither route automatically supplies immigration sponsorship or permission for a regulated business activity.
Choose a permitted employment route
For direct employment, VMI’s FR0227 instructions identify the Mano VMI submission path. Arrange authorized access, requested company-registration documents and translations, and confirm that the company’s Sodra insurer details permit reporting. A payroll administrator can assist; your company remains the employer.
Where an EOR employs someone and assigns them to work under your direction, examine temporary-agency rules. VDI requires a qualifying employing company to appear on its published agency list. Check the actual employer’s name and code.
Under the agency contract rules, agency employment may be fixed-term or open-ended. Fixed-term agency employment, including qualifying successive contracts for the same employee and job, has a three-year maximum; gaps no longer than two weeks count as succession. Ship crews governed by the Merchant Shipping Law fall outside this chapter. Agency workers cannot replace striking employees or be engaged through agency arrangements to replace dismissed employees.
The employment-contract term is different from the assignment’s permissible nature. The EU court’s interpretation permits temporary assignments to permanent jobs but requires protection against abusive successive assignments becoming permanent. An open-ended agency contract does not automatically authorize permanent labour supply.
A contractor agreement serves genuinely independent work. Payroll software alone cannot supply the employee relationship or become the legal employer.
Confirm the person, job and work location are eligible
Before fixing the start date, check:
- Worker: Nationality, identity, permission basis and expiry. The Employment Service confirms that EU and EFTA citizens can work without a work permit; residence formalities remain separate.
- Existing permit: A third-country national’s residence alone does not establish permission for this employer and job. Check the permit category and any required employer-change approval.
- Role: Actual duties, regulated qualifications, industry and any Lithuanian-language requirement, particularly for public-facing work.
- Location: The home, office or client site and regular work abroad. A permanent Lithuanian hire does not become a posting merely because the employer is foreign.
- Agency arrangement: User company, supervision, permitted assignment, contract category/duration, comparator pay and safety responsibilities.
A sponsored hire can change the salary or start date
The Migration Department’s 2026 quota notice, updated September 14, reports that the quota for covered incoming workers is exhausted. The relevant employment-based permit exceptions require monthly gross pay of at least 1.2 BDU, currently €2,893.68, or 1 BDU, €2,411.40, for a profession on the specified high-value shortage list.
Those conditions do not set salary floors for every Lithuanian employee. For foreign workers invited under a temporary-work contract, separate salary conditions address assignment pay and minimum pay between assignments. A salary threshold alone does not establish sponsorship eligibility.
For a hire requiring permission, the legal employer must establish the available basis and approvals before releasing the person to work.
Prepare the offer and country employment terms
Agree the package with the candidate, then have the actual employer prepare the employment documents. Keep an EOR’s client agreement separate from the employee’s contract.
VDI confirms written contracts and essential terms in its employer guidance, and the bilingual requirement in its foreign-worker guidance. An electronic signing process must satisfy the written-form and retention requirements.
The normal working-time norm is 40 hours weekly; part-time, shortened statutory norms and sector-specific rules can change the terms. For arrangements affected from November 1, 2026, also check the enacted Labour Code changes and transition provisions, including changes concerning remote work.
Complete the hire from agreement to first payroll
Worked example: direct employment by Company A
This is a hypothetical hire, not a verified worker or customer. Company A, an overseas software business, is the legal employer. It hires a Lithuanian citizen for an ordinary, non-regulated remote role in Vilnius, entirely within Lithuania, on an open-ended contract at €25 gross per hour, Monday to Friday, eight hours daily.
Assume Company A has completed applicable FR0227 registration, activated Sodra insurer/reporting access and authorized its payroll administrator. The company has reviewed the role’s corporate-tax implications; the worker’s tax residence and applicable income-tax responsibilities are documented. The worker supplies Lithuanian identity/personal-code details and a payment account. No immigration sponsorship or foreign-national LDU notice is required on these citizen-hire premises.
- October 22, Thursday: approve the route. Company A’s responsible officer records its employer identity, registration evidence and acceptance of the role/worksite. Missing registration or reporting access stops the schedule.
- October 23, Friday: complete documents. Company A and the worker sign the Lithuanian contract; HR retains both parties’ copies, the monthly-payment request, schedule, remote-work terms and account details.
- October 26, Monday: file 1-SD. The authorized administrator submits and checks the acknowledgement, meeting the ordinary one-working-day advance rule for Tuesday’s start. For a worker without a Lithuanian personal code, identity-document evidence must reach Sodra before 1-SD.
- October 27, Tuesday: start work. HR confirms the filing and identity gates; the manager completes workplace/safety instructions and releases the worker to begin.
- October 30, Friday: close October inputs. The manager approves four eight-hour days, totalling 32 hours. Payroll calculates €800 gross, then applies the worker’s actual deductions and tax treatment.
- November 3 to 4: approve and fund. Assume payroll approval closes Tuesday, November 3 at 17:00 Lithuanian time and cleared funds are required Wednesday, November 4 by noon. These are illustrative commercial cutoffs.
- November 6, Friday: pay first salary. Under the example’s monthly-payment arrangement, Company A pays the approved October net salary into the worker’s account. Payroll retains the payslip and bank confirmation and completes subsequent statutory filings.
For the EOR route, substitute the actual employing company as contract/filing/payroll owner. Agency assignment notification is ordinarily due two working days beforehand unless the worker agrees earlier. Applicable LDU reporting is separately due one working day before foreign-national employment.
A missed gate has an owner. If 1-SD is first completed on October 27, HR moves the ordinary start to October 28, Wednesday, after checking all gates again; no work occurs on October 27, and payroll adjusts the payable hours. Missing work permission similarly holds commencement until eligibility and any revised notices are complete. If funding misses November 4, Company A’s finance lead must arrange an expedited or alternative lawful payment that preserves November 6. A provider cutoff does not postpone wages already earned.
Budget and prepare the first payment
For an open-ended contract, accident-risk group I and both employer funds applicable, the 2026 components total 1.77%: 1.31% unemployment insurance, 0.14% accident insurance and two 0.16% funds. Fixed-term unemployment insurance is 2.03%, giving 2.49% on the same assumptions. Bases, caps, exemptions and risk groups matter; these are contribution components rather than the full budget. See Sodra’s rates and our Lithuania hiring costs article.
Close the example’s first payment
Company A funds the approved net wage, remittances and administration charges shown on its payroll/funding statement. The €800 gross figure is not the worker’s take-home pay or an all-in invoice. VMI’s income classification distinguishes employer-paid Class A withholding from employee-paid Class B tax; direct foreign-company salary outside a Lithuanian permanent establishment can fall into Class B. Document who declares and pays before quoting net pay.
VDI’s payment rule requires payment at least twice monthly, or monthly on the employee’s request. The default settlement deadline is ten working days after month-end unless applicable rules or the contract provide otherwise.
For October 2026, that default date is November 16, Monday. November 1 and 2 are Lithuanian public holidays; November 2 falls on Monday and is excluded from this Monday-to-Friday count. Company A’s agreed November 6 payday is earlier and remains its commitment.
The administrator files October SAM on November 6 in this completed example. Sodra’s reporting rule sets the following month’s 15th as the deadline and permits the next working day when that date is non-working; November 15 is Sunday, so the reporting deadline becomes November 16. Finance separately tracks the applicable contribution and income-tax remittances.
Under the stated assumptions, the worker starts October 27 and receives first salary November 6. These dates demonstrate one prepared hire, rather than a guaranteed onboarding duration.
What your company still manages after the hire
Your manager remains responsible for accurate work and payroll inputs:
- Report hours, overtime, leave, absence and variable pay before payroll closes.
- Route pay, duties, worksite and contract changes through the legal employer before implementation.
- Coordinate equipment, workplace risks, safety instructions and incidents.
- Supply comparator-pay information where agency equal-treatment rules apply; VDI explains the information duty and relevant exception.
- Limit employee-data sharing to the employment purpose and agreed access controls.
- Reassess immigration and social insurance before work-country or employer changes.
The commercial question also remains: what business does this person conduct for you in Lithuania? VMI’s permanent-establishment guidance includes dependent-agent activity. A sales or contracting role needs its own assessment, regardless of EOR. Regulated activities require their own authorization.
Our Lithuania employment law guide covers broader employer duties.
Questions about hiring without an entity in Lithuania
Can our foreign company sign directly?
Yes, an eligible foreign legal person can employ directly. Complete the applicable registration, reporting and employment arrangements; incorporation and employer registration are separate decisions.
Does every foreign worker need employer-change approval?
No. Check the specific permit category and timing. The Migration Department’s May 2026 changes describe a category-specific Blue Card exception; other employment-based permits can require approval. Do not treat a card’s expiry date as permission for any new employer.
Can we move payday if we miss funding?
An internal or administrator funding cutoff does not change the agreed wage obligation. Finance must resolve the shortfall and preserve timely lawful payment; delaying the example’s November 6 salary is not an acceptable funding strategy.
What changes for applications from November 1, 2026?
The Migration Department’s application notice changes in-country application eligibility for specified work and study routes. Certain visa holders must apply through external service centres. Application eligibility and permission to start work remain distinct.
