You can pursue a hire in Eswatini without incorporating a subsidiary, but the first decision is who will legally employ the person. An employer of record arrangement needs a locally established employer whose permissions cover the proposed activity. Direct employment may instead require registering your overseas company locally, alongside payroll and other employer registrations.
For a first hire, settle the employer, work permission and registration questions before making the start date unconditional. A signed offer alone does not establish readiness to work or receive the first salary.
Can you hire an employee in Eswatini without incorporating?
Yes, conditionally. Avoiding incorporation and avoiding local registration are different objectives.
The Companies Act, section 269, provides for registering an existing foreign company after it establishes a place of business in Eswatini. It requires lodgement within 21 days and distinguishes that registration from incorporation of an Eswatini company. The overseas company remains the business taking on the obligations.
That route involves a local registered office and postal address, an auditor, management particulars and a person authorized to accept service. Whether your employee's actual work location and activities establish a place of business must be assessed for your facts.
Payroll registration is another requirement. The Income Tax Order, Second Schedule paragraph 15, requires registration within 14 days after becoming an employer, subject to any extension allowed by the Commissioner. An existing taxpayer identification number does not replace employer registration. This deadline is not permission to disregard company registration.
A payroll-only route for a foreign company with no registered local business is unverified here. Obtain ERS acceptance of that specific setup and resolve company-registration, representation and insurance requirements before relying on it.
Choose a permitted employment route
| Route | When available | Who is the legal employer | What must be in place |
|---|---|---|---|
| Employer of record | When the actual local employer can lawfully employ this worker and provide the proposed service | The named Eswatini employing company | Employment contract, applicable agency authority, employer registrations, insurance and worker eligibility |
| Direct employment through a registered foreign company | When your overseas company completes applicable local business and employer requirements | Your overseas company | Foreign-company registration where triggered, local representation, ERS employer registration and applicable ENPF and insurance setup |
| Direct foreign-employer payroll registration alone | Availability without local business registration remains unverified | Your overseas company | Written acceptance of the exact arrangement by the relevant authorities; a payroll account alone is insufficient evidence |
| Incorporate an Eswatini company | A separate option if you want a locally incorporated employer | The new company | Incorporation and the applicable operating and employment registrations; outside this article's objective |
Eswatini's Employment Act, sections 110 to 116, regulates private employment agencies. Where an activity falls within that definition, written Labour Commissioner authority is required, subject to the statutory exemptions and the authority's conditions. Ask for the actual permission and its scope rather than accepting “EOR” as a licence category.
There is also a live reform issue. The Employment Bill 2024 proposes restrictions on triangular employment. Do not treat the Bill as an operative ban without confirming enactment and commencement. Before committing to an intermediary arrangement, have its current legal basis and any transition obligations checked against the latest enacted text.
A payroll service calculates and administers pay; it does not necessarily become the employer. Contractor paperwork cannot remove employee obligations where the actual relationship is employment. Keep this decision focused on employing the person you have selected.
Confirm the person, job and work location are eligible
Complete these checks before promising an unconditional start:
- Identity and citizenship: establish who the worker is and whether immigration permission is needed.
- Permission for this employment: for a non-citizen, verify the category, employer, work and conditions covered by the permission. Residence documentation alone does not establish permission for the proposed job.
- Actual worksite: record the home, office or client site where work will occur. Include travel and any work performed outside Eswatini.
- Job and industry: identify the applicable wage order, collective agreement and any professional or operating permissions. The Labour Ministry publishes sector wage orders; one sector's minimum cannot stand in for every role.
- Employer and arrangement: identify the contract signatory, agency activity, permission conditions and any restrictions on duration or assignment.
- Employment category: decide whether the job is ongoing or genuinely fixed term and document the basis.
For a worker needing permission, the government's employee permit checklist includes Form 3, an employer covering letter, proof of a full-page job advertisement, police clearance, qualifications, medical documentation, photographs and company documents. Copies must be certified as specified.
A concrete stop condition is an unresolved permission for the proposed employer and role. An application receipt does not demonstrate approval. Keep the start conditional until the required authorization is effective; do not use a visitor or dependant category as assumed work permission.
Prepare the offer and country employment terms
Use the actual legal employer's name throughout. Your company can agree the role and commercial budget, while the employer issues and owns the employment documents.
For covered employees, sections 22 and 23 of the Employment Act require the completed Second Schedule particulars within six weeks of employment beginning, signed by employer and employee with witnessed signatures. Exceptions include domestic employment, expected work below 21 hours weekly and certain short fixed-term or collective-agreement cases. Section 25 distinguishes that form from a written employment contract.
Complete both the agreed contract and required particulars before work as an onboarding safeguard, even where the statutory particulars deadline falls later.
| Decision or document | Required information | Responsible party | Deadline or dependency |
|---|---|---|---|
| Contract and particulars | Employer, employee, commencement, work, wage calculation, pay intervals, normal hours, probation, leave, notice and relevant pension terms | Legal employer and worker; witness for particulars | Covered particulars within six weeks; proposed process completes them before starting |
| Pay and benefits | Gross salary in SZL, allowances, benefits, deductions and applicable sector or collective terms | Employer, with client budget approval | Agree before acceptance; confirm applicable wage order |
| Location and hours | Actual worksite, schedule, supervision and travel expectations | Client supplies facts; employer documents terms | Before eligibility and safety approval |
| Language and signing | Documents the worker can understand, with explanation or translation where needed | Employer and worker | Before informed signing; record any required witnessing |
| Immigration file | Correct application category and supporting employer and worker documents | Employer and worker; immigration authority decides | Required permission effective before the relevant work |
| Payroll and benefit data | Identity, tax details where applicable, ENPF membership, payment instructions and beneficiary information needed for benefits | Worker supplies; employer verifies | Before payroll validation; use secure collection |
Complete the hire from agreement to first payroll
The sequence below is a practical control process. In the direct route, your company is also the legal employer; its local representative handles the relevant filings.
- Approve the route. The client gives the proposed employer the job, worksite, citizenship and reporting facts. The employer returns its legal identity, relevant permissions and acceptance of the assignment. Completion evidence is an approved arrangement and responsibility schedule.
- Clear the worker. The worker supplies identity and any immigration documents. The employer verifies them against this job; the regulator grants permission where required. An unresolved permission prevents release to work.
- Execute employment documents. The employer and worker sign the contract and covered particulars, with witnessing where required. The client approves the commercial terms. Retain the signed versions and acknowledgement.
- Activate employer protection and registrations. The employer confirms PAYE, eligible ENPF membership and insurance. The ENPF registration form asks for business, tax, physical-address, incorporation and trading-licence information. Under section 25 of the compensation legislation, non-government employers must insure covered liability unless exempted.
- Release the start. Employer and client confirm the preceding gates, equipment, supervision and safety arrangements. Give the worker a written start confirmation. Keep the permission and registration evidence with the employment file.
- Validate and fund payroll. The worker confirms payment details; the client supplies attendance and variable pay. The employer approves gross pay, deductions and net pay. Finance funds the agreed amount by the commercial deadline.
- Pay and close the cycle. The employer pays wages, issues the payslip and completes remittances. Retain payment evidence, filing acknowledgements and ENPF allocation records.
Hypothetical November hire
Assume an overseas software company selects an adult Eswatini citizen for an ongoing analyst role at its Manzini worksite. The overseas company itself is the legal employer, registered in Eswatini as a foreign company. Its local office, auditor, service representative, approved public officer, PAYE and ENPF accounts, applicable operating permissions and insurance are in place. The role's wage-order requirements have been checked. These are hypothetical premises, not a verified real hire.
Assume the place of business was established on Monday, 12 October 2026, and the foreign-company filing was accepted on Friday, 23 October, before the 21-day deadline on 2 November. Contract and witnessed particulars are completed by Friday, 30 October. First work starts Monday, 2 November.
The agreed first November gross salary is E15,000, without proration. The assumed input cutoff is Wednesday, 18 November, cleared funding is due Monday, 23 November, and first salary is paid Monday, 30 November. The worker consents to payment by bank cheque at the worksite during working hours, a method permitted by Employment Act sections 46 and 50.
| Milestone | Must be complete | Evidence | Who confirms |
|---|---|---|---|
| 30 October: release gate | Employer permissions, citizen identity, employment documents, registrations and insurance | Approved file and signed start confirmation | Company public officer and local manager |
| 2 November: first work | Approved worksite and supervision ready | Worker start acknowledgement | Company local manager |
| 18 November: payroll cutoff | Salary, attendance, deductions and payment method validated | Approved payroll register | Payroll officer, worker and manager |
| 23 November: funding | Salary and agreed employer charges available | Cleared-funds confirmation | Company finance and payroll officer |
| 30 November: first salary | Net wages paid by consented bank cheque; payslip delivered | Payment receipt and payslip | Company payroll officer and worker |
| December remittances | PAYE return/payment and ENPF contribution reporting | Authority receipts and employee allocation | Company public officer and payroll officer |
Under these assumptions, work starts on 2 November and the first salary is paid on 30 November. If registration, permissions or worker eligibility is unresolved on 30 October, the company withholds start clearance and agrees a later date before work begins. If funding fails after work starts, the employer remains responsible for wages; an internal or client funding failure does not move payday.
Budget and prepare the first payment
Obtain a quote that separates recurring employment costs from setup and conditional charges.
| Cost layer | November example or pricing basis | Cash treatment |
|---|---|---|
| Gross salary | E15,000, expressly assumed | Includes amounts later deducted from the worker |
| Employer ENPF | E215 for this eligible employee at the 2026 ceiling | Additional employer cost |
| Salary plus employer ENPF | E15,215 | Subtotal only; excludes the following items |
| Insurance and benefits | Applicable premium and agreed benefits | Recurring or annual billing as quoted |
| Payroll administration or EOR fee | Written quote for the selected route | Administration outsourcing does not itself transfer employer status |
| Conditional charges | Registration, local representation, equipment, screening, immigration or currency/payment charges where applicable | Price individually; distinguish one-time charges |
The ENPF 2026 notice sets a monthly wage ceiling of E4,300 and maximum combined contribution of E430, split E215 employer and E215 employee. The employee share comes from gross pay and must not be added again as an employer cost. ENPF's eligibility guidance covers regularly employed citizens subject to exemptions; check other worker categories separately.
PAYE is also withheld from remuneration. Calculate this worker's net salary using the applicable ERS tables and benefit treatment rather than treating gross salary as take-home pay.
For November, the ERS PAYE quick guide states a return deadline no later than the seventh calendar day of the following month. The employer guide mentions a 14-day remittance period for registered e-filers. The Income Tax Order, Second Schedule paragraph 2(1), sets seven days after month-end, or a further period approved by the Commissioner. Complete this example's filing and payment by 4 December 2026, ahead of 7 December; do not assume an extension applies.
Section 14(3) of the Provident Fund Order requires contributions within 21 days after month-end. November contributions therefore reach the Fund by 21 December 2026. The 7 and 21 December dates are Mondays. ENPF instructs employers to send proof of payment with the completed electronic NPF200.
The assumed 18 and 23 November commercial deadlines create preparation time; neither is a statutory deadline or a Borderless commitment. Employment Act sections 47 and 50 govern wage intervals and require payday to be fixed and notified at the beginning. Section 61 requires a payslip for covered employees. A missed processing cutoff cannot justify withholding wages already due.
What your company still manages after the hire
Keep a named client owner for daily supervision, attendance, overtime requests, leave inputs, equipment and worksite hazards. Route salary, location, duties and termination changes through the legal employer before promising them to the worker.
Review these matters when the job changes:
- Whether new duties or a client site fall within the employer's permissions and insurance.
- Whether travel or a worker's immigration change requires a fresh approval.
- Whether the business needs sector-specific permission for the activity itself.
- Whether local premises, sales authority or contract activity change your company's registration or tax position.
- Who may access employee data and how documents move between worker, employer and client.
For a company carrying on business locally, ERS public-officer guidance requires an approved resident natural person to represent its tax affairs. An EOR arrangement does not itself decide whether your company is carrying on business or has taxable presence. Assess those questions using the actual work and applicable law.
Questions about hiring without an entity in Eswatini
Can we send an offer before every registration is finished?
You can discuss conditional terms. Identify the intended legal employer and make commencement dependent on the required permissions and readiness checks. Do not let the employee begin work against an unresolved start gate.
Does hiring an Eswatini citizen remove the employer setup?
Citizenship removes the foreign-worker permission question in this example. It does not remove employment documentation, employer registration, eligible ENPF contributions or applicable insurance.
Is a Labour Commissioner licence enough to approve any EOR arrangement?
Check the activity, written authority, conditions and applicable exemptions. A permission for one activity does not establish permission for every client assignment. The proposed triangular-employment reforms also warrant a current enacted-law check.
Can we pay the first salary from overseas and register later?
The funding source does not settle who employs the worker or what registrations apply. Agree a lawful payment method and employer-controlled payroll process. Treat the registration deadlines as obligations, and prepare the accounts before payroll as a practical safeguard.
Borderless AI provides EOR services. Bring us the proposed role, worksite, citizenship or permit position, salary and desired start date to assess the arrangement and request a written scope and payroll schedule. Country and case acceptance must be confirmed before you commit to the hire.
