You can avoid incorporating an Azerbaijani subsidiary, but the hire still needs a legal employer, an effective employment contract and local payroll arrangements. For a company with no registered presence, an employer of record arrangement is a candidate route only after the actual Azerbaijani employer accepts the person, role and worksite.
The first practical gate is electronic contracting. For ordinary private-sector employment, both parties must complete the contract in the government's ƏMAS system before work begins. A signed overseas offer or a payment-service account does not complete that step. The Labor Code, Article 49, gives the ordinary electronic contract legal effect from the final signature by the parties.
Can you hire an employee in Azerbaijan without incorporating?
Yes, through a supported employment route. Your registered branch can employ the worker without incorporating a subsidiary. A registered Azerbaijani company can also employ under ordinary employment rules; using that company through an EOR arrangement additionally requires confirmation of the service model's legal classification and the worker's eligibility.
Direct employment needs a separate route check. Azerbaijan provides tax registration for a foreign resident's division that does not create a permanent establishment. That is a defined registration category, rather than proof that any overseas company can operate an employee payroll without a local presence.
Tax Code Article 33.8 addresses qualifying divisions under applicable tax treaties. It requires a local address, a decision establishing the division, representative information and foreign corporate and tax-residence documents, with prescribed legalization and Azerbaijani translations. Registration must be requested within 30 days after the division starts activity. This tax deadline does not authorize work before employment formalities are complete.
A branch retains your own registered presence without creating a separate legal person under Civil Code Article 53.3. It carries registration and administration duties. A bare nonresident employer registration that also enables ordinary ƏMAS employment, without a branch or equivalent established presence, is not established by the guidance cited here.
Choose a permitted employment route
| Route | When available | Who is the legal employer | What must be in place |
|---|---|---|---|
| Local employer under an EOR arrangement | The employer accepts the specific employee, duties and location, and confirms the service model's legal basis | The named Azerbaijani employing company | Employer registration and VÖEN, ƏMAS access, employment contract, applicable insurance and any permissions |
| Direct foreign-employer registration | Restricted to a supported registered-presence route; a presence-free payroll route remains unverified | Foreign company acting through its eligible registered operation | Corporate/tax registration appropriate to the operation, authorized representative, contracting and payroll capability |
| Your registered branch | You accept establishing and maintaining a local presence without a subsidiary | Foreign company acting through the branch | Branch registration, employer administration, employment documents and payroll |
| Azerbaijani subsidiary | You choose to incorporate locally | Your new Azerbaijani company | Incorporation and employer setup; outside this article's no-incorporation objective |
Ask for the employer's full legal name and VÖEN before approving an EOR proposal. The Labor Code, Articles 3 and 43, identifies the employer framework and requires employer identification in the contract. A payroll processor handles calculations or transfers; it does not become the employer simply by processing money. Contractor invoicing also cannot replace an employee relationship: Article 7 expressly identifies employment relationships that cannot be documented through civil contracts.
Check agency activity separately. Azerbaijan maintains an official intermediary register. Where the service includes employment mediation, require the provider to explain its registration and reporting obligations. That register is not, by itself, a universal EOR authorization.
Confirm the person, job and work location are eligible
Before committing to a start date, establish:
- Worker status: citizenship, or the precise residence and work-permission basis. Permanent residence is one work-permit exemption; ordinary temporary residence alone is insufficient.
- Employer and workplace: the company employing the worker, the actual workplace address and any remote-work arrangements.
- Role and industry: whether the work requires professional qualifications, health checks or a separate sector authorization.
- Contract category: whether the ongoing job should be indefinite, or which lawful fixed-term basis applies.
- Location regime: whether the work falls within the Alat Free Economic Zone, which the Labor Code treats separately. Do not apply the ordinary Baku example below automatically to that zone.
Foreign sponsorship is a consequential stop condition. Migration Code Articles 63 and 64 require a permit unless an exemption applies. Article 63.5 requires foreign workers to be employed at their employer's own workplaces and prohibits concluding the employment contract before the required permit is obtained. The permit route also involves local-labor availability considerations.
If a foreign worker would actually work at a customer's premises, the proposed sponsor must resolve that workplace condition before an offer promises a start. Do not assume that a service agreement permits the placement. This article's worked example uses an Azerbaijani citizen and does not establish sponsorship availability.
Prepare the offer and country employment terms
Keep the commercial offer conditional on the legal employer completing the employment process. Give that employer the actual duties, location and compensation package before it prepares the contract.
| Decision or document | Required information | Responsible party | Deadline or dependency |
|---|---|---|---|
| Employee identification | Identity document, name, address and FİN; relevant qualification documents | Worker supplies; employer checks | Before contract preparation and signature |
| Employer and job | Employer name and VÖEN, authorized signatory, workplace, position and duties | Legal employer, with client inputs | Before contract completion |
| Pay and working terms | Gross salary in AZN, pay date, hours, rest, leave, benefits and insurance | Client proposes; employer agrees with worker | Include the mandatory terms in the contract |
| Form and language | Ordinary electronic contract in ƏMAS; arrange Azerbaijani text and a translation the worker can understand | Legal employer and worker | Both parties need usable electronic signatures before completion |
| Duration | Indefinite employment or an identified lawful fixed-term basis | Legal employer | Decide before signing |
| Vacancy record | Newly created or vacant position, including salary | Legal employer | Enter within five working days of creation or vacancy |
| Conditional permissions | Work permit or documented exemption; qualification or medical documents where required | Employer, worker and competent authority | Resolve before the affected contract or work begins |
| Payment data | Employee bank details, relevant payroll records and benefit information | Worker and legal employer | Before the agreed payroll cutoff |
Contract content and identity requirements come from Articles 43 to 49. Article 48 makes qualification and medical documents conditional on the job and restricts unnecessary document requests. Azerbaijani text plus a translation is the practical document approach proposed here. The signature guidance explains that employees as well as employers need an enhanced electronic signature.
The vacancy deadline is separate from contract effectiveness. The Employment Agency confirms the five-working-day requirement. Agree who creates the record even when your company has already selected the candidate.
Complete the hire from agreement to first payroll
This explicitly hypothetical hire uses the registered-branch route: Foreign Company Ltd, acting through its Baku branch, employs an adult Azerbaijani citizen as an analyst at the branch office. Assume branch and tax registrations, signature access and required insurance are complete by November 23, and ordinary private non-oil-and-gas payroll rules apply without a special incentive. No real company or worker has been verified. This route avoids subsidiary incorporation; it requires a registered local presence.
The target first-work date is Tuesday, December 1, 2026, at AZN 3,000 gross per month. The parties agree a month-end salary date, adjusted for nonworking days.
- Complete employer setup. Head office establishes the branch, appoints its authorized signatory and confirms tax registration, ƏMAS access, insurance and payroll administration. Keep the registration certificate, authority documents and setup confirmations before proceeding. The example assumes this gate passes by November 23; it does not estimate how long registration takes.
- Create the role and vacancy record. Assume the branch employer creates the position on Monday, November 23 and submits its vacancy information on Wednesday, November 25, within the five-working-day period. The branch employer retains the submission record and resolves any filing failure.
- Check identity and signature access. The worker supplies identification and payroll instructions; the branch employer checks the FİN and applicable job documents. Both parties test signature access before issuing the final electronic contract. An inaccessible signature account is a start-date problem for the employer and worker to resolve together.
- Complete the employment contract. Assume both parties sign in ƏMAS on Friday, November 27, with December 1 specified as the work-start date. The branch employer keeps the completed electronic contract and final signature record. An unsigned draft does not pass this gate; postpone commencement if completion is missing.
- Release the employee to start. The branch employer confirms insurance, workplace arrangements and required safety instructions; head office prepares equipment and access. Work begins December 1 only after the employment and eligibility gates pass.
- Approve December payroll and funding. For this example only, assume payroll inputs close Tuesday, December 22 and head-office funding is cleared by Thursday, December 24. These are assumed commercial dates for the payroll-administration arrangement, not statutory deadlines or a Borderless commitment. The branch employer confirms the funding amount and plans the remaining scheduled workdays and any adjustments.
- Pay and close the first cycle. December 31 is a statutory nonworking holiday, so the agreed month-end salary is paid on Wednesday, December 30. The branch employer makes the net transfer after lawful deductions, provides payroll information and retains contribution/remittance records. Under these assumptions, the employee starts December 1 and receives December salary December 30.
| Milestone | Must be complete | Evidence | Who confirms |
|---|---|---|---|
| Employer setup complete | Branch registrations, citizenship, role and worksite checked | Registration, signatory and eligibility records | Head office and branch payroll owner |
| Vacancy recorded | Timely submission with salary | System submission record dated November 25 | Branch employer |
| Ready for work | Effective contract, agreed start date, insurance and workplace readiness | ƏMAS contract and onboarding records | Branch employer; head office confirms equipment |
| Ready for payment | Approved inputs, bank details and cleared funds | Payroll approval and funding receipt | Head-office finance and branch payroll owner |
| First cycle complete | Salary transferred and employer remittances handled | Bank confirmation and payroll records | Branch employer |
Article 49 ties ordinary electronic contract effectiveness to the final signature. Article 172 moves a salary date falling on a nonworking holiday to the preceding day; the 2026 calendar identifies December 31 as a holiday.
Missing the vacancy deadline requires correction by the branch employer; a completed employment contract does not erase that breach. Missing contract or permission readiness postpones work. Missing the assumed funding date requires immediate escalation by head-office finance and the branch payroll owner, with an alternative payment arrangement that preserves the employee's due date. It does not create permission to delay wages after work has started.
Budget and prepare the first payment
For the same December example, the compact employer budget is:
| Cost layer | Illustrative amount or treatment |
|---|---|
| Monthly gross salary | AZN 3,000.00 |
| Employer social insurance | AZN 464.00: AZN 44 plus 15% of the AZN 2,800 above AZN 200 |
| Employer medical insurance | AZN 52.50: 2% of AZN 2,500 plus 0.5% of AZN 500 |
| Employer unemployment insurance | AZN 15.00: 0.5% of AZN 3,000 |
| Salary plus these employer contributions | AZN 3,531.50, before the additional layers below |
| Other recurring costs | Occupational accident/disease insurance premium, branch/payroll administration and agreed benefits; EOR fee if that route is selected instead |
| One-time or conditional costs | Setup, translation, equipment, bank/FX charges and any applicable permit costs; obtain an itemized quote |
The social insurance law, current tax guidance and unemployment insurance law support these scoped rates. This is not a universal Azerbaijan total: sector, employer category and special regimes can change treatment. The subtotal excludes the separately priced occupational insurance premium and commercial charges.
Employee income tax and employee insurance deductions come out of gross pay; do not add them again as employer contributions. Ask payroll to show gross pay, each deduction and the net bank transfer. The current Labor Code requires payment at least monthly. A contractual or collective schedule must also be checked.
Funding should cover remittances as well as net salary. Social and unemployment insurance are payable alongside wage payments, no later than the following month's 15th under their respective laws. Tax Code Article 150.3 generally requires monthly employment income-tax remittance by the following month's 20th and the withholding return by the 20th after the quarter. The branch employer owns that calendar, including nonworking-day adjustments; in the example it remits social and unemployment contributions with the December 30 payroll.
What your company still manages after the hire
Keep an operating owner inside your company for:
- Daily assignments, accurate hours, leave and payroll inputs. The Labor Code requires the employer to record actual working time, so the local employer needs reliable information from your managers.
- Changes to salary, duties, location or hours. Route proposed changes through the legal employer before implementing them.
- Equipment, access controls, data handling and incident reporting, coordinated with the employer's workplace and safety responsibilities.
- Any regulated commercial activity performed for your business. Employment arrangements do not substitute for activity-specific permissions.
- Corporate-tax presence. Review the employee's authority to develop customers, negotiate or conclude contracts and the business's actual operating location against Tax Code Article 19 and the applicable treaty.
An EOR agreement allocates employment administration. It cannot, by itself, determine your company's permanent-establishment position or authorize every activity the employee performs.
Questions about hiring without an entity in Azerbaijan
Can we send an overseas offer and start the employee immediately?
The offer can establish intended commercial terms, but ordinary employment must pass the ƏMAS contract and eligibility gates before work starts. Keep access and productive duties conditional on the legal employer's confirmation.
Does the employee need to register as a sole trader?
An employee hire uses employment documentation. Do not substitute a sole-trader invoice for an employee relationship. Collect employee identification and the payroll information the legal employer actually needs.
Can a temporary resident use the same process as an Azerbaijani citizen?
Only after a separate permission check. Identify a specific Migration Code exemption or obtain the required work permit. A temporary residence document alone does not establish an exemption or the sponsor's ability to employ the person at the proposed workplace.
Is the vacancy deadline a waiting period before hiring?
It is a reporting obligation measured from creation or vacancy of the position. It does not replace the contract-effectiveness requirement or establish a universal five-day onboarding period.
Will the employee miss salary if we miss the provider's cutoff?
Escalate immediately and agree how the employer will meet the due date. A commercial cutoff does not amend an employee's salary entitlement. Confirm funding and an exception process before the first day of work.
Borderless AI's EOR service covers onboarding, contracts, payroll and benefits administration. Bring the proposed role, citizenship or permission status, Baku or other worksite, salary and target start date for an arrangement assessment. Ask us to confirm Azerbaijan availability, the actual employing company and the first-payroll schedule for your case before committing to the hire.
