To switch EOR providers in Egypt, first establish whether the Egyptian legal employer will change. If both providers use the same employing company, the employment relationship may continue while service administration changes. If the employers differ, establish the legal route and treatment of existing rights before arranging an employee exit.
Egypt's Labour Law No. 14 of 2025 protects employment contracts in specified establishment transfers. A commercial decision to replace an EOR does not, by itself, establish that such a transfer exists. Your cutover needs an employer decision, a rights decision and a payroll decision, in that order.
What changes when you switch EOR in Egypt?
Compare the employer named in the signed employment agreement with the proposed employer, social-insurance establishment record and payroll registration. Brand names and matching platform profiles cannot establish who employs the worker or which transfer mechanism applies.
| Situation | Legal mechanism to verify | Evidence required | Implication |
|---|---|---|---|
| The Egyptian employing company remains the same | Continued employment with changed service administration | Existing contract, unchanged employer registrations, signed service handover and payment authority | Preserve the employment record; do not manufacture a resignation or new hire. |
| An establishment is genuinely transferred | Article 11 continuity | Transaction documents, affected establishment and employees, Egyptian legal assessment | Contracts continue; the successor shares responsibility with former employers for contractual obligations. |
| Different employers, without an established Article 11 transfer | Lawful ending of existing employment and agreed new employment | Contract type, worker's position, valid exit documents, new contract and rights schedule | Settle old obligations and identify precisely what the incoming employer recognises. |
Article 11 covers transactions including merger, division, sale, assignment and lease of an establishment. It does not label every movement between service providers a protected transfer. Have the parties document the actual transaction before applying it.
Check the incoming arrangement itself. Article 45 restricts labour supply, subject to Article 40. Decree 272/2025 distinguishes licensed employment agencies from unlicensed labour suppliers. Request the applicable route, licence where required, and evidence that the activity falls within it. Company registration alone is insufficient; an EOR label does not settle the classification.
Review the existing service and employee position
Keep commercial obligations and employee obligations in separate schedules.
Commercial agreement checklist
- Identify the contracting provider, Egyptian employer and any intermediary or local partner.
- Check service notice, renewal dates, exit charges, data-export duties and obligations surviving termination.
- Reconcile deposits, unused funds, disputed invoices, refund conditions and currency conversion.
- Assign the last payroll run, filing responsibilities and the person authorised to extend service if readiness fails.
Employee arrangements checklist
- Collect the signed contract and amendments, original service date, contract duration and any collective agreement.
- Verify wages, leave, protected leave, benefits, bonus and equity terms, disputes and outstanding claims.
- Check nationality, work permission, sponsor or employer details, and any professional or assignment restrictions.
- Confirm pay periods, outstanding expenses, insurance records and the employee's understanding of the proposed change.
This article addresses ordinary private-sector employment. State employees and domestic workers fall outside the general Labour Law coverage described here. Special worker, sector and collective rules still need checking. A switch does not establish a fresh start for an existing fixed-term arrangement or resolve a dispute.
Establish transfer and continuity treatment
Write down which rights continue by law, which stay with the same employer, which require an incoming commitment, and which the outgoing employer must settle. A recognised service date in a new contract is useful, but its agreed effect must be explicit.
| Item | Statutory treatment to verify | Recognition or settlement needed | Who confirms |
|---|---|---|---|
| Prior service | Continued employment or Article 11 protection, if applicable | For fresh employment, specify recognition for notice, benefits and any contractual termination payment separately | Both employers and Egyptian employment adviser |
| Probation | Article 90 limits probation to three months and prohibits repeating it with the same employer | No restart in the same-employer case; negotiate omission in a genuine new-employer contract | Incoming employer and employee |
| Annual leave | Article 125 provides payment for unused entitlement when employment ends, subject to its rules | Continuing employer retains the balance; an actual exit requires a settlement assessment, even if the new employer offers leave credit | Outgoing payroll and incoming HR |
| Notice and termination liability | Contract type and lawful reason matter; notice does not cure an unlawful dismissal | Identify notice pay, compensation or other sums that actually apply | Outgoing employer and employment adviser |
| Protected leave and status | Pregnancy, statutory leave and other protected circumstances can constrain termination | Preserve applicable protection; document benefit coverage and any agreed improvements | Employers and employee representative, where applicable |
| Bonus, equity and insurance | Employment terms, plan rules and insurer conditions may differ | Confirm vesting, payment ownership, exclusions, claims and effective dates | Plan administrator, insurer and both employers |
| Foreign-worker permission | Employer, occupation and residence conditions must support the arrangement | Establish the required amendment or permission and effective date | Incoming employer and competent authorities |
These employment rules appear in the current Labour Law. Annual-leave thresholds also matter: Article 124 provides enhanced entitlement for workers with ten years across one or more employers, older workers and specified categories. Do not reset an entitlement merely because a system records a new start date.
For genuinely new employment, Article 89 requires a written Arabic contract in four copies for the employer, employee, social-insurance office and competent administrative authority. Agree the documents before ending the old employment; completing a new platform profile does not replace them.
For indefinite contracts, Article 156 sets three months' written notice. Article 161 permits the employer to release an employee from all or part of notice when the employee initiates termination. That exception is different from a blanket advance waiver. Article 158 prohibits conditional termination notice, while Article 159 addresses leave-related timing. Resolve readiness before issuing an employee termination notice that cannot simply remain conditional.
Resignation has its own safeguards. Article 167 requires a signed, administratively approved resignation, allows ten days for the employer's decision, and gives the worker ten days after notification of acceptance to withdraw through an approved written process. Coordinate acceptance, notice and the effective end date. Do not ask workers to resign merely to satisfy a provider's onboarding checklist.
The Egypt employment guide explains that the law does not impose a general business-sale consultation process, while contractual or collective protections may apply. Workforce reduction is a separate route with separate procedures. A client changing vendors does not itself establish lawful grounds for dismissing employees.
Set one coordinated cutover calendar
The following worked example is hypothetical. An Egyptian citizen has worked for Egyptian Employer C since January 2025. EOR A and EOR B are service intermediaries using that same employer. Documents confirm that C remains the employer and its permitted arrangement continues. There is no establishment sale and no employee termination.
Assume a service change effective Tuesday, 1 December 2026, 30 calendar days' commercial notice received on Sunday, 1 November, and an agreed service end on Monday, 30 November. Assume Friday and Saturday are this operation's nonworking days. These are contract and operating assumptions, not statutory migration periods.
Assume A closes November inputs on Thursday, 26 November, and B closes December inputs on Thursday, 24 December. C owns any late correction and confirms whether it requires an additional authorised payment or filing adjustment.
| Milestone | Dependency | Outgoing EOR | Incoming EOR | Client or employee action | Completion evidence |
|---|---|---|---|---|---|
| 1 November: commercial notice | Contract permits the agreed 30 November service end | A acknowledges notice | B confirms proposed scope | Client appoints transition owner | Notice receipt and agreed end date |
| 5 November: readiness gate | C's identity and permitted route, employment documents, required consent, permission position, benefits and first-payroll funding readiness | A confirms continuing C employment | B and C sign responsibilities and contingency | Client reserves funding; employee receives explanation | Employer confirmation, agreed documents, benefit confirmation and funding plan |
| Employee-exit milestone: not applicable | Same C employment confirmed at the gate | A gives no resignation or termination instruction | B creates no artificial new hire | Employee keeps the continuing contract | If an exit becomes necessary, rebuild the route and gate before issuing exit documents |
| 12 November: secure records | Lawful recipients and transfer process agreed | A provides verified payroll and leave records | B validates against C's records | Employee checks personal details securely | Reconciliation and controlled-access log |
| 19 November: calculation test | Complete records and agreed payroll configuration | A supplies comparison calculation | B tests without releasing money | Client resolves exceptions | Signed test results; one live payment owner |
| 25 November: incoming funds | Verified credit and approved funding request | A confirms any remaining cash exposure | B and C acknowledge available funds | Client supplies the additional amount | Cleared funds and allocation receipt |
| 30 November: last A-administered payroll | C approves November payroll | A administers 1 to 30 November wages | B receives final historical values | Employee checks November payslip | C's approved payroll and payment proof |
| 1 December: service cutover | Readiness remains satisfied | A ends service access as agreed | B administers C's continuing employment | Client confirms operational handover | Continuing contract, benefits and registration records |
| 15 December: November tax control | General payroll-tax regime assumed | A supplies computation and filing evidence | B checks completion with C | Client follows up exceptions | C's remittance receipt and filing-owner confirmation |
| 31 December: first B-administered payroll | December inputs and approved funding | A resolves historical exceptions | B administers 1 to 31 December wages | Employee checks payslip and receipt | Approved payroll, bank evidence and balance reconciliation |
The example assumes unchanged insurance through 30 November and from 1 December, confirmed by the insurer. It requires no employment exit or new-employer social-insurance registration. If any document instead identifies a different employer, stop using this calendar and establish the appropriate employee route first.
For an actual new-employer start, NOSI's published procedures require the outgoing employer's Form 6 notice within one week of service ending and the incoming employer's Form S1 submission within two weeks of joining. Obtain filing evidence and confirm the applicable procedure for any genuine establishment transfer. These clocks follow employment events, not invoice dates.
Labour-directorate reporting is separate. Decree 214 guidance describes submitting the fourth contract counterpart and notifying renewal, non-renewal or termination within 15 days of the relevant event. Assign that work explicitly if the employee route creates such an event.
Egypt's 2026 holiday calendar lists no national holiday on the example's November and December milestones. Confirm bank and office availability before execution. If the gate fails, the client arranges an agreed extension before A's service ends; C retains payroll ownership throughout.
Reconcile transition costs and cash
Separate employee entitlements from supplier invoices. A disputed deposit cannot be treated as cash available for the next payroll.
Article 108 requires monthly-paid workers to be paid at least monthly. When employment ends, wages and all amounts due must be paid within seven days of the worker requesting them. A service invoice dispute does not suspend that payment obligation.
| Fee, liability or funding item | When due | Responsible party | Refund or settlement treatment |
|---|---|---|---|
| Service exit or transition charge | Actual contract date | Client under service agreement | Reconcile against agreed terms; no assumed standard fee |
| Outstanding employee pay and expenses | Applicable wage or exit payment deadline | Legal employer; client funds as contracted | Remain payable despite service termination |
| Notice or termination amounts | Only if the actual employee route triggers them | Outgoing employer, with contractual client allocation | Establish liability before approving exit |
| Unused annual leave | Assess when employment actually ends | Outgoing employer | Statutory settlement cannot be replaced merely by importing a balance |
| Benefits or service overlap | Agreed coverage or service dates | Allocated among client and providers | Distinguish duplicate service charges from necessary cover |
| Deposit, credit and first-payroll funds | Contractual reconciliation and incoming cutoff | Client, providers and legal employer | Use only confirmed available funds; track refunds separately |
In the worked case, assume a fixed EGP 30,000 monthly gross salary, no variable pay, and EGP 12,000 of verified unused salary funding already held by C. C confirms it can apply that credit to December payroll. The client supplies EGP 18,000 on 25 November: EGP 12,000 + EGP 18,000 = EGP 30,000.
This is salary-only funding. Employer contributions, benefits and service fees require separate approved amounts. Employee withholding is calculated within gross pay; the example does not calculate net pay. A refund merely expected from A would not satisfy the funding gate.
C's verified January to November 2026 gross earnings of EGP 330,000 are historical data. December adds EGP 30,000, producing EGP 360,000 annual gross earnings. Importing EGP 330,000 must not generate another payment or funding request. An agreed eight-day leave balance at 30 November remains C's liability, with subsequent accrual recorded separately; it is not cashed out for a service-only change.
Test the first payroll and close the old arrangement
Use a pass/fail record with an owner for each failure. A successful file upload is insufficient.
- Wage period: November belongs to the last A-administered run; December belongs to B's first run. C remains the employer in both.
- Historical values: Reconcile year-to-date taxable earnings, tax withheld, insurance wage bases, contributions and prior adjustments. Import history separately from December earnings.
- Deductions and filings: Validate current withholding and contribution rules, applicable bases and registration identifiers. Assign each submission to one accountable owner.
- Benefits and leave: Match policy dates, continuing claims and the eight-day opening leave balance to the signed records.
- Payment controls: Release one approved live wage payment. Parallel testing means comparing calculations, without a second payment instruction.
- Cash: Confirm EGP 12,000 available credit plus EGP 18,000 received, separately reconcile employer charges, and match payments and remittances to the ledger.
- Closure: Collect receipts, resolve final invoices, preserve required records and revoke obsolete access only after a usable handover.
Under the general regime, ETA payroll guidance requires withheld tax to be remitted during the first 15 days of the following month. November pay in this example therefore needs a December remittance control. Quarterly and annual obligations continue after A's service ends. Check whether the employer has entered the separate simplified tax regime, which changes payroll reporting and payment arrangements.
For employee data, identify the lawful basis, necessary fields, authorised recipients, retention and secure delivery method. The PDPC notice guidance calls for Arabic privacy information covering recipients, purposes and overseas transfers where applicable. A global platform may introduce foreign hosting or access: assess the required permissions and safeguards before export under Egypt's data-transfer rules. Encryption alone does not establish permission.
Give the employee a usable handoff
By 5 November, explain that C remains the employer, which service contact changes, and how pay, insurance and leave will work. Supply any agreed amendments and privacy information before signature or disclosure; identify any actual consent deadline. Provide B's support contact, the client's HR owner and the dates for November and December payslips. Ask the employee to report errors without sending sensitive records through ordinary group email.
If A delays or refuses records, the client's transition owner escalates to A and C. Minimum verified records include the contract and amendments, identity and insurance identifiers, payroll history and receipts, current wage inputs, leave and benefit records, and permission documents where relevant. Reconstruct securely from lawful records only when C and payroll owners validate sufficiency. Otherwise extend or defer the switch before closing payroll or ending employment.
Two employee situations that change the switch
Hypothetical case 1: independently authorised worker. The Egyptian citizen in the worked example needs no foreign-worker permit. C's unchanged employment record supports continued service, including the existing probation history and leave liability. The conditional outcome is a 1 December administration change with one December payroll. If C changes, those conclusions must be reconsidered before any exit.
Hypothetical case 2: employer-linked permission. A foreign specialist is employed by A's Egyptian entity and B proposes a different employer. Keep the start conditional until B establishes the permitted occupation, employer, residence position and effective permission. Do not schedule work during an authorisation gap.
Decree 279/2025 requires attention to the actual permission: Article 28 provides for a warning to amend permit details when work with another employer is detected, while Article 30 includes misuse for a different employer or occupation among cancellation grounds. That correction process is not advance approval for the switch. Article 32 requires employer notification and return of the permit within a week of the foreign worker's contract ending or departure from work. Coordinate these actions with the authority's confirmed route. A new service provider does not itself restart a permit duration or remove an occupational restriction.
Questions about switching EOR in Egypt
Must employees resign before switching?
Establish the mechanism first. A continuing Egyptian employer does not need a resignation for a service change. A qualifying Article 11 transaction preserves contracts. A different-employer arrangement needs its own lawful exit and new-employment documents.
Will the original service date carry over?
It continues with the same employer and receives statutory protection where Article 11 applies. For fresh employment, document each purpose for which prior service is recognised. Contractual recognition does not erase the outgoing employer's liabilities or determine government records.
Can we simply carry unused leave into the new platform?
For continuing employment, reconcile the balance and retain its liability owner. If employment ends, assess Article 125 settlement first. Any additional leave credit offered by the incoming employer must be identified separately to avoid confusing it with the outgoing payment.
Does the service notice determine the employee's end date?
No. Commercial notice, employee notice, resignation safeguards and permission dates have different triggers. Agree the service end around a legally workable employee route and payroll calendar.
What if B is ready but records or permission are missing?
Treat readiness as incomplete. Name the missing dependency and owner, arrange an agreed extension or defer, and preserve lawful payment and employment arrangements. A proposed onboarding date cannot authorise work or repair an unverified payroll history.
